Rhea-AI Filing Summary

Blackstone Inc. reported completion by its indirect subsidiary, Blackstone Reg Finance Co. L.L.C., of a $1.1 billion senior-notes offering: $600 million of 5.650% notes due November 3, 2031, and $500 million of 5.900% notes due November 3, 2033. The notes began accruing interest November 2, 2026; interest is payable semiannually in arrears on May 3 and November 3 each year, beginning May 3, 2027. Blackstone said it intends to use the proceeds for general corporate purposes.

The notes are unsecured and unsubordinated obligations of the subsidiary and are fully and unconditionally guaranteed, jointly and severally, by Blackstone Inc. and five indirect subsidiaries. The indenture limits, subject to exceptions, secured indebtedness liens on subsidiary voting stock or profit-participating equity interests, and mergers, consolidations or sales, transfers or leases of assets. The issuer may redeem the 2031 notes before October 3, 2031, and the 2033 notes before September 3, 2033, at their specified make-whole prices; on or after those dates, redemption is at par plus accrued and unpaid interest. Following a change of control repurchase event, the notes are subject to repurchase for 101% of principal plus accrued and unpaid interest.

Filing Explained

For the completed notes, a continuing event of default can make them immediately due after any applicable grace period if the trustee or holders of at least 25% of outstanding principal declare acceleration. Specified bankruptcy, insolvency, receivership or reorganization events make principal and accrued interest automatically due.

2033 Notes principal amount $500 million 5.900% Senior Notes due November 3, 2033
2033 Notes interest rate 5.900% per annum Interest began accruing November 2, 2026
Change of control repurchase price 101% of aggregate principal amount Plus accrued and unpaid interest
unsecured and unsubordinated obligations financial
"The Notes are unsecured and unsubordinated obligations"
make-whole redemption price financial
"at the make-whole redemption price"
The make-whole redemption price is the amount an issuer pays to buy back debt early that compensates bondholders for the interest they will miss out on. It is usually calculated by taking the present value of the remaining scheduled payments, discounted at a specified rate (often a Treasury yield plus a spread), sometimes with a small premium — like refunding a prepaid service by reimbursing the remaining value today. It matters because it determines how much bondholders receive if the debt is called and affects the issuer’s cost of early repayment.
change of control repurchase event financial
"If a change of control repurchase event occurs"
A change of control repurchase event happens when a company is sold or otherwise taken over and that sale triggers contractual rights for holders of stock, options, or debt to force the company to buy their securities back for cash. Think of it like a lease that lets the tenant cash out when the building is sold: it gives certain investors a predictable exit price and timeline. This matters because it can change who owns the company, alter cash on hand, affect future returns and dilution, and influence how attractive a takeover or investment looks.
semiannually in arrears financial
"payable semiannually in arrears"
