Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Cayson Acquisition Corp (CAPN) said Nasdaq initiated procedures to delist its securities after the company did not provide shareholder figures within an extension and therefore did not evidence compliance with the exchange’s requirement for at least 400 total holders of ordinary shares. Nasdaq granted the extension through October 26, 2026, after CAPN timely submitted a compliance plan.

CAPN said it has appealed the determination, with an appeal deadline of November 5, 2026. The company believes it can provide documentation establishing the required shareholder figures before an appeal hearing is scheduled, which would make the matter moot.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

"beneficial holders and holders of record"
Names listed on a company’s official register at a specific cut-off date who are legally entitled to receive dividends, vote on corporate matters, or participate in other shareholder actions. Think of it like a guest list for an event: only those on the list at the snapshot time get the invitation or benefits, so investors watch the record date to know whether they will receive payouts or voting rights for a given corporate action.
plan of compliance regulatory
"submitted a plan of compliance"
A plan of compliance is a formal roadmap a company creates to fix regulatory or legal problems, listing the steps, timelines and responsible parties needed to meet official rules. Investors care because it indicates how quickly and effectively a company can stop penalties, restore trust and return to normal operations—much like a repair plan for a house that shows when rooms will be fixed and how much it will cost.

Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

As previously disclosed, on April 27, 2026, Cayson Acquisition Corp (the “Company”) received a written notice (the “Notice”) from the Listing Qualifications Department of The Nasdaq Stock Market (“Nasdaq”) indicating that the Company was not in compliance with Listing Rule 5450(a)(2) (the “Minimum Total Holders Rule”), which requires the Company to have at least of 400 “Total Holders” (generally defined as both beneficial holders and holders of record) of the Company’s ordinary shares for continued listing on the exchange.

The Notice stated that no later than June 11, 2026, the Company was required to submit a plan to regain compliance with the Minimum Total Holders Rule. The Company timely submitted a plan of compliance and Nasdaq granted the Company an extension until October 26, 2026 to evidence compliance with the Minimum Total Holders Rule.

On October 29, 2026, the Company received another notice from Nasdaq indicating that the Company filaed to provide the necessary shareholder figures within the allotted extension pereiod and therefore did not evidence compliance with the Minimum Total Holders Rule. As a result, Nasdaq has initiated procedures to delist the Company’s securities from Nasdaq. The Company has the right to appeal the determination by November 5, 2026. The Company believes it will be able to provide documentation necessary to establish the shareholder figures to comply with the Minimum Total Holders Rule before an appeal hearing is scheduled, which would make the matter moot. However, the Company has appealed the determination at this time to maintain the listing of the Company’s securities on Nasdaq.
