Rhea-AI Filing Summary

Chemours (CC) amended its 2025 annual report to include Management’s Report on Internal Control over Financial Reporting, which was omitted from the original report because of an administrative error. The CEO and CFO concluded that disclosure controls and procedures were not effective at the reasonable assurance level as of December 31, 2025; the company says this ineffectiveness continued until the third quarter of 2026.

Management concluded that internal control over financial reporting was effective as of December 31, 2025, and PricewaterhouseCoopers’ report in the original annual report expressed an unqualified opinion on its effectiveness. During the third quarter of 2026, management implemented additional review procedures for completeness of non-financial statement disclosures. The amendment does not affect the consolidated financial statements.

Policies, routines and internal checks a public company uses to identify, collect and verify information that must appear in its financial reports and public filings, and to make sure that material news is disclosed accurately and on time. Investors care because effective controls increase confidence that the company’s reported numbers and disclosures are reliable and reduce the risk of surprises, much like a building’s inspection and alarm system helps occupants trust the structure’s safety.

Internal control over financial reporting is a company’s system of procedures and checks designed to make sure its financial statements are accurate and complete, like a set of guardrails and verification steps that catch mistakes or fraud before numbers are published. Investors care because strong controls make reported results more trustworthy, lower the risk of surprise restatements or regulatory problems, and give greater confidence when valuing the company or comparing it to peers.

EXPLANATORY NOTE

This Amendment No. 1 on Form 10-K/A (“Amendment No. 1”) amends the Annual Report on Form 10-K of The Chemours Company (the “Company” or “Chemours”) for the fiscal year ended December 31, 2025, as filed with the Securities and Exchange Commission (the “SEC”) on February 24, 2026 (the “Original Filing”). Amendment No. 1 is being filed solely to:

·amend and restate Part II, Item 9A of the Original Filing in its entirety to include Management’s Report on Internal Control over Financial Reporting, which was inadvertently omitted from the Original Filing, and to revise management’s conclusion regarding the effectiveness of the Company’s disclosure controls and procedures to state that, as of December 31, 2025, the Company’s disclosure controls and procedures were not effective as a result of the administrative error that caused such omission; and
·amend and restate Part IV, Item 15(a)(3) of the Original Filing to include as Exhibits 31.3 and 31.4 currently dated certifications of the Company’s principal executive officer and principal financial officer pursuant to Rule 13a-14(a) under the Securities Exchange Act of 1934, as amended (the "Exchange Act").

Management performed and completed its assessment of the Company’s internal control over financial reporting as of December 31, 2025 and management’s assessment was reviewed with the Audit Committee prior to the Original Filing. As a result of an administrative error, Management’s Report on Internal Control over Financial Reporting was inadvertently omitted from the Original Filing. The report of PricewaterhouseCoopers LLP, the Company’s independent registered public accounting firm, which expressed an unqualified opinion on the effectiveness of the Company’s internal control over financial reporting as of December 31, 2025, was included in the Original Filing. Management has concluded that the administrative error described above relates to the Company’s disclosure controls and procedures and did not constitute a deficiency in, or affect management’s conclusion regarding the effectiveness of, the Company’s internal control over financial reporting as of December 31, 2025. This Amendment No. 1 does not affect the Company’s consolidated financial statements included in the Original Filing.

As described in Part II, Item 9A of this Amendment No. 1, the Company’s Chief Executive Officer (“CEO”) and Chief Financial Officer (“CFO”) have concluded that the Company’s disclosure controls and procedures were not effective as of December 31, 2025 because of this administrative error. The ineffectiveness of the Company’s disclosure controls and procedures existed from December 31, 2025 until the third quarter of 2026. In addition to the Company’s existing disclosure controls and procedures, during the third quarter of 2026, management implemented additional review procedures to provide reasonable assurance over the completeness of the non-financial statement disclosure requirements of the applicable SEC form.

In accordance with Rule 12b-15 under the Exchange Act, Item 9A and Item 15(a)(3) are amended and restated in their entirety. Currently dated certifications are filed as Exhibits 31.3 and 31.4. Because no financial statements are included in this Amendment No. 1, paragraph 3 of such certifications has been omitted. Additionally, the Company is not including certifications pursuant to Section 1350 of Chapter 63 of Title 18 of the United States Code (18 U.S.C. 1350) because no financial statements are filed with this Amendment No. 1.

Except as described above, this Amendment No. 1 does not amend, modify or update any other information in the Original Filing. Other than the description above relating to the Company’s disclosure controls and procedures, this Amendment No. 1 does not reflect events occurring after the date of the Original Filing. Accordingly, this Amendment No. 1 should be read in conjunction with the Original Filing and with the Company’s other filings with the SEC subsequent to the Original Filing. Capitalized terms not defined in this Amendment No. 1 have the meanings given to them in the Original Filing.

PART II

Item 9A. CONTROLS AND PROCEDURES

Disclosure Controls and Procedures

We maintain disclosure controls and procedures designed to provide reasonable assurance that the information required to be disclosed in our reports filed or submitted under the Securities Exchange Act of 1934, as amended (the "Exchange Act") is recorded, processed, summarized, and reported within the time periods specified in the rules and forms of the U.S. Securities and Exchange Commission ("SEC"). These controls and procedures also provide reasonable assurance that information required to be disclosed in such reports is accumulated and communicated to management, including our CEO and CFO, to allow timely decisions regarding required disclosures.

As of December 31, 2025, our CEO and CFO, together with management, conducted an evaluation of the effectiveness of our disclosure controls and procedures as such term is defined in Rule 13a-15(e) under the Exchange Act. Based on that evaluation, the CEO and CFO concluded in the Original Filing that these disclosure controls and procedures were effective at the reasonable assurance level. Subsequent to the Original Filing, our CEO and CFO, together with management, have concluded that our disclosure controls and procedures were not effective at the reasonable assurance level as of December 31, 2025 because of an administrative error in the preparation of our Annual Report on Form 10-K such that Management’s Report on Internal Control over Financial Reporting was not accurately and completely included in the Original Filing.

2

In addition to the Company’s existing disclosure controls and procedures, during the third quarter of 2026, management implemented additional review procedures to provide reasonable assurance over the completeness of the non-financial statement disclosure requirements of the applicable SEC form.

Management’s Report on Internal Control over Financial Reporting

Management is responsible for establishing and maintaining adequate internal control over financial reporting as defined in Rules 13a-15(f) and 15d-15(f) under the Securities Exchange Act of 1934. The Company’s internal control over financial reporting is a process designed to provide reasonable assurance regarding the reliability of financial reporting and the preparation of financial statements for external purposes in accordance with generally accepted accounting principles. The Company’s internal control over financial reporting includes those policies and procedures that:

i.pertain to the maintenance of records that, in reasonable detail, accurately and fairly reflect the transactions and dispositions of the assets of the Company;
ii.provide reasonable assurance that transactions are recorded as necessary to permit preparation of financial statements in accordance with generally accepted accounting principles and that receipts and expenditures of the Company are being made only in accordance with authorization of management and directors of the Company; and
iii.provide reasonable assurance regarding prevention or timely detection of unauthorized acquisitions, uses, or dispositions of the Company’s assets that could have a material effect on the financial statements.

Because of its inherent limitations, internal control over financial reporting may not prevent or detect misstatements. Also, projections of any evaluation of effectiveness to future periods are subject to the risk that controls may become inadequate because of changes in conditions, or that the degree of compliance with the policies or procedures may deteriorate.

Management has assessed the effectiveness of the Company’s internal control over financial reporting as of December 31, 2025 using the criteria set forth in the Internal Control - Integrated Framework (2013) issued by the Committee of Sponsoring Organizations of the Treadway Commission (“COSO Framework”).

Management completed an evaluation of our internal control over financial reporting and concluded that our internal control over financial reporting was effective as of December 31, 2025.

The effectiveness of our internal control over financial reporting as of December 31, 2025 has been audited by PricewaterhouseCoopers LLP, an independent registered public accounting firm, as stated in their report which appears in Part IV, Item 15 of the Original Filing starting on page F-2.

Changes in Internal Control over Financial Reporting

There have been no changes in our internal control over financial reporting that occurred during the quarter ended December 31, 2025 that have materially affected, or are reasonably likely to materially affect, our internal control over financial reporting.
