(the “Registrant”) for the purpose of registering an additional 1,000,000 shares of the Registrant’s common stock, par value $0.001 per share (the “Common Stock”), issuable under the Capstone Green Energy Holdings, Inc. 2023 Equity Incentive Plan (the “Incentive Plan”), which increase in shares was approved by the Registrant’s stockholders at its Annual Meeting of Stockholders on August 12, 2025.
