On November 17, 2025, Civitas
Resources, Inc., a Delaware corporation (“Civitas”), and SM Energy Company, a Delaware corporation (“SM Energy”),
issued a joint press release and posted a joint presentation on their respective websites providing additional details regarding the anticipated
merger between SM Energy and Civitas. Copies of the press release and the investor presentation are attached hereto as Exhibit 99.1 and
