Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 3, 2025, Sarah E. Raiss, a director of Commercial Metals Company (the “Company”) since 2011, informed the Company that she has decided to retire as a director of the Company and not stand for re-election upon expiration of her current term at the Annual Meeting of Stockholders, scheduled to be held on January 14, 2026. Ms. Raiss’s decision to retire was not in connection with any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.

On November 3, 2025, Jennifer J. Durbin informed the Company that she will resign from her position as Senior Vice President, Chief Human Resources and Communications Officer of the Company effective as of December 31, 2025 to pursue another opportunity.
