Rhea-AI Filing Summary

CIM Group, Inc. (CMRF) expanded its board from five to seven members on October 26, 2026, and appointed Avraham Shemesh, Shaul Kuba and Alicia K. Harrison to fill three vacancies, including the vacancy created by Jason Schreiber’s resignation. Shemesh and Kuba are company vice presidents and will receive no separate compensation for director service. Harrison meets the company’s independence standards, and her compensation will be consistent with standard arrangements for non-employee directors. The 2026 annual meeting is scheduled for December 9, with October 26 set as the record date.

Filing Explained

Two appointees share in profits of the contributor’s controlling company and may be deemed owners of contributor-held securities.

The agreement called for the company to take all reasonably necessary steps to cause CIM Contributor-affiliated directors other than Richard Ressler to resign and to elect Shemesh, Kuba and a contributor-designated independent director; the disclosed changes took effect October 26, 2026.

Shemesh and Kuba founded CIM Group, LLC, which owns and controls the contributor; they participate in CIM Group, LLC’s earnings and profits and may be deemed beneficial owners of the contributor’s common stock, special voting preferred stock and operating-partnership units.

record date financial
"October 26, 2026 as the record date"
The record date is the specific day when a company determines which shareholders are eligible to receive a dividend or participate in an upcoming vote. It’s like a cutoff date; if you own the stock on that day, you get the benefits or voting rights. This date matters because it decides who qualifies for certain company benefits.
beneficially own financial
"may be deemed to beneficially own the shares"
Beneficially own means having the economic rights and risks of a security—such as the right to receive dividends, sell the shares, or profit from price changes—whether or not your name appears on the official share register. Think of it like renting a car: you use it and reap the benefits even if the title lists someone else. Investors care because beneficial ownership determines who truly controls value, must be disclosed under securities rules, and can signal potential influence or trading activity that affects a stock’s price.
indemnification agreement technical
"standard indemnification agreement for directors"
An indemnification agreement is a contract in which one party promises to cover losses, costs, or legal claims that another party might face, acting like a tailored safety net or private insurance policy. For investors, it matters because such agreements shift potential financial risk away from a company or its officers and onto the indemnifier, which can affect a company’s future liabilities, cash flow and how risky the investment appears during deal-making or litigation.
