Rhea-AI Filing Summary

CFN Enterprises Inc. has notified investors that it will file its Quarterly Report on Form 10-Q for the period ended June 30, 2026 after the deadline, relying on the five-calendar-day extension permitted under Rule 12b-25 because it is still completing its financial statements.

Based on preliminary estimates, net loss available to common shareholders for the three months ended June 30, 2026 is expected to be approximately $1.48 million, compared with approximately $2.35 million for the same period in 2025. For the six months ended June 30, 2026, net loss available to common shareholders is anticipated to be approximately $2.73 million, versus approximately $4.92 million a year earlier.

The company attributes these significant changes primarily to reduced loss from discontinued operations following the wind-down of its Ranco business, partially offset by higher loss from continuing operations. Management emphasizes that these figures are preliminary, unaudited, subject to change upon completion of the financial statements, and have not been reviewed by the independent registered public accounting firm.

Positive

  • Preliminary results indicate a materially lower net loss, with three-month loss improving from $2.35 million to about $1.48 million and six-month loss from $4.92 million to about $2.73 million, reflecting reduced loss from discontinued operations.
  • Wind-down of the Ranco business has reduced loss from discontinued operations, contributing to the anticipated year-over-year improvement in total net loss available to common shareholders.

Negative

  • The company will file its Form 10-Q for the quarter ended June 30, 2026 late and must rely on a Rule 12b-25 extension due to incomplete financial statements.
  • Despite overall improvement, the company expects a higher loss from continuing operations for the three and six months ended June 30, 2026 compared with the prior-year periods.

Notification of Late Filing regulatory
"is filing this Notification of Late Filing on Form 12b-25"
A notification of late filing is a formal public statement that a company failed to submit a required regulatory report (for example, quarterly or annual financial statements) by the deadline. It matters to investors because missed filings can signal accounting, operational, or governance problems, may lead to fines or trading restrictions, and increases uncertainty about the company's transparency—like a public “we missed the deadline” flag that raises risk for shareholders.
Rule 12b-25 regulatory
"provided by Rule 12b-25"
Rule 12b-25 is an SEC filing provision that lets a company notify regulators and the public that it cannot file a required periodic report (like a quarterly or annual report) on time and explains the reason for the delay. For investors, the notice is a formal heads-up that financial information will arrive late—similar to a company calling to say it will be late turning in homework—so it signals increased uncertainty and may affect trading and risk assessments until the filing is available.
discontinued operations financial
"reduced loss from discontinued operations following the wind-down"
Discontinued operations are parts of a company that it has decided to sell or shut down, and no longer plans to run in the future. This matters to investors because it helps them understand which parts of the business are ongoing and which are being phased out, providing a clearer picture of the company’s current performance and future prospects. Think of it like a store closing a department—it no longer contributes to sales or profits.
continuing operations financial
"offset by the higher loss from continuing operations"
Continuing operations are the parts of a company's business that it expects to keep running into the future, excluding divisions or activities it has sold, closed, or classified as discontinued. Investors watch continuing operations because they show the company’s core ability to generate revenue and profit over time — like evaluating the healthy, ongoing crops on a farm rather than one-off harvests from fields you've already sold.
forward-looking statements regulatory
"CAUTIONARY STATEMENT REGARDING FORWARD LOOKING INFORMATION"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.

FAQ

Why is CNFN filing its Form 10-Q for June 30, 2026 late?

CFN Enterprises Inc. is delaying its Form 10-Q because it is still completing its financial statements for the quarter ended June 30, 2026. It states that filing on time would require unreasonable effort or expense and plans to use the five-day Rule 12b-25 extension.

When does CNFN expect to file the delayed June 30, 2026 Form 10-Q?

The company expects to file the Form 10-Q within the five calendar day extension allowed by Rule 12b-25 for quarterly reports. This means it anticipates submitting the report shortly after the original due date, once the financial statements are completed.

How do CNFN’s preliminary Q2 2026 results compare with Q2 2025?

For the three months ended June 30, 2026, CNFN anticipates a net loss available to common shareholders of about $1.48 million, compared with approximately $2.35 million for the same period in 2025, based on preliminary, unaudited internal estimates.

What are CNFN’s preliminary net loss figures for the first half of 2026?

For the six months ended June 30, 2026, CNFN expects a net loss available to common shareholders of about $2.73 million. This compares to approximately $4.92 million for the six months ended June 30, 2025, according to its preliminary estimates.

What is driving the anticipated change in CNFN’s results of operations?

CNFN attributes the significant change mainly to reduced loss from discontinued operations after winding down its Ranco business, partially offset by a higher loss from continuing operations. These factors are expected to materially alter results versus the prior-year quarter and half-year.

Are CNFN’s preliminary Q2 2026 figures audited or final?

No. The company states the preliminary figures are based on currently available information, that its independent registered public accounting firm has not audited or reviewed them, and that final results may differ from these estimates.
