Insights

Delay is administrative; preliminary results disclosed.

The filing is a Rule 12b-25 notice stating the company will use the permitted five-day extension to file its Form 10-Q after completing financial statements for the quarter ended March 31, 2026.

Timing depends on finalizing accounting close and external review; the company warns its preliminary $1.28 million loss estimate is subject to change and has not been audited.

Preliminary improvement vs prior year, but numbers are unaudited.

The company reports an estimated net loss improvement to $1.28 million from $2.56 million the prior year period, largely due to reduced loss from discontinued operations related to Ranco.

Final results may differ materially; reliance on these estimates should be cautious until the Form 10-Q is filed and audited figures are available.

Form 12b-25 regulatory
"filed this Notification of Late Filing on Form 12b-25"
Form 12b-25 is a notice a publicly traded company files with the U.S. Securities and Exchange Commission when it cannot deliver a required periodic report (like a quarterly or annual financial report) on time. It explains the reason for the delay and gives the company a short, temporary window to finish the report without being marked as delinquent; investors watch it because late filings can signal accounting, operational, or control issues that may affect a company’s reliability and stock risk, much like a missed homework deadline can raise concerns about a student’s preparedness.
discontinued operations financial
"reduced loss from discontinued operations following the wind-down of the Company’s Ranco business"
Discontinued operations are parts of a company that it has decided to sell or shut down, and no longer plans to run in the future. This matters to investors because it helps them understand which parts of the business are ongoing and which are being phased out, providing a clearer picture of the company’s current performance and future prospects. Think of it like a store closing a department—it no longer contributes to sales or profits.
preliminary estimate financial
"The above financial disclosure is preliminary, based upon the Company’s estimates"
independent registered public accounting firm regulatory
"The Company’s independent registered public accounting firm has not audited or reviewed"
An independent registered public accounting firm is an outside accounting company officially registered with the government regulator to examine and report on a public company's financial records and controls. Investors treat its reports like an impartial inspector’s certificate — they add credibility to financial statements, help spot errors or misleading claims, and reduce the risk that shareholders are relying on unchecked or biased numbers.
