Rhea-AI Filing Summary

Global Cord Blood Corporation, which is in provisional liquidation under the supervision of the Grand Court of the Cayman Islands, provided an update on the process to approve fees of the Joint Provisional Liquidators (JPLs). The JPLs have already obtained Court approval of their remuneration and disbursements for two prior periods covering 22 September 2022 to 30 September 2024.

They are now seeking Court sanction of their fees and disbursements for the Third Fee Approval Period, from 1 October 2024 to 30 September 2025, detailed in a Third Fee Report dated 6 August 2026. Because of an ongoing dispute over the Company’s register of members and prior inquorate extraordinary general meetings, the JPLs intend to ask the Court to dispense with the requirement to hold a shareholders’ meeting for this period.

Shareholders may request a copy of the Third Fee Report by emailing evidence of their shareholding to the JPLs and may submit queries about the report by email by 28 August 2026.

Joint Provisional Liquidators regulatory
"appointing Margot MacInnis and John Royle ... as Joint Provisional Liquidators"
Joint provisional liquidators are temporary, court-appointed officials who take control of a troubled company's assets and affairs while a formal winding-up or insolvency process is being decided. Think of them as emergency guardians who stop value being lost, secure records, and assess whether creditors or shareholders can recover funds. Investors pay attention because their appointment usually signals serious financial distress, potential suspension of trading, and uncertainty about how much, if anything, will be repaid.
extraordinary general meeting regulatory
"convened an extraordinary general meeting (“EGM”) for 16 April 2024"
register of members regulatory
"ultimately as a result of a dispute concerning the Company’s register of members"
An official list maintained by a company that records who owns its shares, how many they own and their contact details, similar to a class roster or bank ledger for ownership. It matters to investors because only people on the list can vote at meetings, receive dividends or corporate communications, and it provides clear proof of ownership and helps enforce rights during share transfers or corporate actions.
Court sanction regulatory
"the JPLs’ intention to obtain Court sanction of the fees described therein"
in provisional liquidation regulatory
"Global Cord Blood Corporation (In Provisional Liquidation) (the “Company”)"

JPLs’ First Fee Approval Application
Pursuant to the powers granted by the Court Order and the Company’s constitutional documents, the Company (acting by its JPLs) convened an extraordinary general meeting (“EGM”) for 16 April 2024 to consider ordinary resolutions to approve the JPLs’ fees and disbursements for the period 22 September 2022 to 30 September 2023 (“First Fee Approval Period”). The JPLs were unable to hold the EGM, or the subsequently adjourned EGM, as both were inquorate, ultimately as a result of a dispute concerning the Company’s register of members. Notwithstanding this, the Court approved the JPLs’ remuneration and disbursements for the First Fee Approval Period on 13 November 2024, following an application by the JPLs.
JPLs’ Second Fee Approval Application
The JPLs’ fees and disbursements for the period 1 October 2023 to 30 September 2024 (“Second Fee Approval Period”) were detailed in a report dated 10 February 2025. Following an application by the JPLs, the Court approved the JPLs’ remuneration and disbursements for the Second Fee Approval Period on 11 July 2025 and dispensed with the requirement to convene an EGM. Shareholders were informed of these events by way of publications on the SEC platform, accessible here:

Commercial in Confidence

In the event that the Court dispenses with the requirement to hold an EGM, shareholders of the Company will still be afforded sufficient opportunity to raise any queries or concerns in relation to the Third Fee Report. In this regard, the JPLs invite any shareholders to submit enquiries by email to GCBCJPLs@uk.gt.com by no later than 28 August 2026.
