Rhea-AI Filing Summary

Cardiol Therapeutics Inc. entered into a sales agreement with Jefferies LLC for an at-the-market program allowing the company to offer and sell up to US$75 million of common shares. The company has no obligation to sell shares, and total gross proceeds could be less than US$75 million.

Net proceeds from any sales are intended to support development of CardiolRx™ for recurrent pericarditis, including, subject to Phase III MAVERIC trial outcomes, support for a New Drug Application; clinical development of CRD-38; and general and administrative expenses, working capital and other expenses. Shares may be sold through ordinary brokers’ transactions on Nasdaq or other U.S. trading markets at prevailing market prices, but not through the Toronto Stock Exchange or otherwise in Canada. The Toronto Stock Exchange conditionally approved the program, and Nasdaq was notified.

Filing Explained

Cardiol has entered an agreement allowing it to sell up to US$75 million of new shares through an at-the-market program; no sale is committed, but any shares issued would increase the share count and, absent offsetting changes, reduce existing holders’ percentage ownership.

ATM program maximum Up to US$75 million Common shares offered and sold under the ATM Program
at-the-market offering program financial
"for an at-the-market offering program"
An at-the-market offering program lets a company sell newly issued shares directly into the open market at current trading prices through a broker, rather than issuing a large block of stock all at once. It matters to investors because it provides the company a flexible way to raise cash over time, which can dilute existing shares gradually and affect earnings per share and stock price depending on how much and when shares are sold—think of it as a faucet the company can open or close to add supply to the market.
prospectus supplement regulatory
"pursuant to a prospectus supplement dated November 3, 2026"
A prospectus supplement is an additional document provided alongside a company's main offering details, offering updated or extra information about a specific financial product being sold. It helps investors understand the latest terms, risks, and details of the investment, similar to how an update or revision clarifies or expands on original instructions, ensuring they have current and complete information before making a decision.
New Drug Application medical
"supporting a New Drug Application"
A new drug application is a formal request submitted to government regulators seeking approval to market a new medicine. It is like a detailed proposal that shows the drug has been tested for safety and effectiveness. For investors, receiving approval signals that the drug may soon become available for sale, potentially leading to revenue growth and impacting the company's value.
Phase III MAVERIC trial medical
"subject to the Phase III MAVERIC trial outcomes"

The ATM Agreement will allow the Company to offer and sell up to US$75 million of common shares of the Company (the "Offered Shares") under the ATM Program. The Offered Shares may be offered and sold by the Company to the public from time to time, through the Sales Agent.
