Filing Explained

Shareholders approved resolutions covering the TopCo exchange, possible Delaware redomicile and voting-share sunset extension, but Cresco still describes the transactions as proposed and flags approvals and other conditions to completion; this filing does not report the new parent or exchange structure as completed.

Special resolutions 3 resolutions Approved at the October 30, 2026 meeting
Approval At least 94% of shares voted Each of the foregoing matters at the meeting
Directors elected 7 directors Other annual business approved at the meeting
Multiple voting shares listing sunset date From the first to the third anniversary Of a U.S. listing
TopCo technical
"creation of a new parent company (“TopCo”)"
redomicile regulatory
"potential, subsequent redomicile of TopCo from British Columbia to Delaware"
Redomicile is when a company legally moves its “home” from one country or jurisdiction to another while keeping its business operations largely the same. For investors it matters because the move can change tax rules, legal protections, corporate governance, and the ease of trading shares—similar to a person changing their legal residence to gain different benefits or follow different laws, which can affect value and risk.
multiple voting shares technical
"listing sunset date applicable to the Company's multiple voting shares"
Shares that carry more votes per share than regular shares, giving their holders greater control over corporate decisions such as board elections and major strategic moves. For investors this matters because a small group holding multiple voting shares can steer the company’s direction irrespective of economic ownership, similar to a few people holding the keys to a car even if many others own parts of it, which affects governance risk and influence on value.
listing sunset date technical
"extension of the listing sunset date"
