Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Cyngn Inc. received a Nasdaq notice that its common stock no longer meets the $1.00 per-share minimum bid-price requirement for continued listing on The Nasdaq Capital Market after closing below that level for 30 consecutive business days. The notice has no immediate effect on the listing. Cyngn has 180 calendar days from October 14, 2026, or until April 12, 2027, to regain compliance.

A closing bid at or above $1.00 per share for a minimum of 10 consecutive business days would restore compliance and close the matter. If Cyngn does not regain compliance by April 12, 2027, it may qualify for an additional 180 calendar days, subject to other listing standards and written notice of its intention to cure. Nasdaq Staff could otherwise notify the company that its securities are subject to delisting, a determination the company may appeal to a Nasdaq Hearings Panel. Cyngn says it will monitor the bid price and consider options, but gives no assurance it will regain compliance or maintain other continued-listing requirements.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

A reverse split is not announced as a present action: the filing lists it as a possible cure if Cyngn qualifies for a second compliance period; it would reduce share count and raise per-share price proportionally, without changing company value by the split itself.

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing Securities
The company received a delisting notice, failed to satisfy a continued-listing rule or standard, or transferred its listing.
Minimum bid price $1.00 per share Nasdaq continued-listing requirement
Period below minimum bid price 30 consecutive business days Closing bid price was below $1.00 per share
Initial compliance period 180 calendar days From October 14, 2026, until April 12, 2027
Compliance restoration threshold 10 consecutive business days Closing bid at or above $1.00 per share
Possible additional compliance period 180 calendar days May be available if stated Nasdaq requirements are met
Possible extended bid-price period Generally no more than 20 consecutive business days Nasdaq may require more than 10 business days before assessing long-term compliance
Minimum Bid Price Requirement regulatory
"no longer meets the Minimum Bid Price Requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
market value of publicly held shares regulatory
"requirement for market value of publicly held shares"
The market value of publicly held shares is the total dollar worth of a company’s shares that are available to outside investors, calculated by multiplying the current market price by the number of shares held by the public (the “float”). It matters because it tells investors how much of the company is actually tradable and how the market is pricing that tradable portion—like a price tag on the items on a store shelf, it affects liquidity, volatility and how easy it is to buy or sell a meaningful stake.
initial listing standards regulatory
"all other initial listing standards"
reverse stock split technical
"by effecting a reverse stock split, if necessary"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
Nasdaq Hearings Panel regulatory
"appeal the delisting determination to a Nasdaq Hearings Panel"
A Nasdaq hearings panel is a group of experts that reviews cases when a company's stock listing is at risk of being removed from the exchange. They evaluate whether the company has met certain standards and determine if it can keep trading on Nasdaq. This process matters to investors because it can affect a company's ability to raise money and maintain credibility in the market.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

What triggered CYN's Nasdaq deficiency notice?

Cyngn's common stock closed below Nasdaq's $1.00 minimum bid price for 30 consecutive business days, so the company no longer met the Minimum Bid Price Requirement for continued listing on The Nasdaq Capital Market. The notice has no immediate effect on the stock's listing.

What conditions apply to CYN's possible second Nasdaq compliance period?

Cyngn may qualify for an additional 180 calendar days if it meets the continued listing requirement for market value of publicly held shares and all other initial listing standards for The Nasdaq Capital Market, except the bid-price requirement. It must also provide written notice of its intention to cure during the second period, by effecting a reverse stock split if necessary.

Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On October 14, 2026, Cyngn Inc. (the “Company”) received a notification letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that, because the closing bid price for the Company’s common stock listed on Nasdaq was below $1.00 for 30 consecutive business days, the Company no longer meets the minimum bid price requirement for continued listing on The Nasdaq Capital Market under Nasdaq Listing Rule 5550(a)(2), requiring a minimum bid price of $1.00 per share (the “Minimum Bid Price Requirement”).

The notification has no immediate effect on the listing of the Company’s common stock. In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has a period of 180 calendar days from October 14, 2026, or until April 12, 2027, to regain compliance with the Minimum Bid Price Requirement. If at any time before April 12, 2027, the bid price of the Company’s common stock closes at or above $1.00 per share for a minimum of 10 consecutive business days, Nasdaq will provide written confirmation of compliance and the matter will be closed. Under Nasdaq Listing Rule 5810(c)(3)(H), the staff of Nasdaq (the “Staff”) may, in its discretion, require the Company to satisfy the Minimum Bid Price Requirement for a period in excess of 10 consecutive business days, but generally no more than 20 consecutive business days, before determining that the Company has demonstrated an ability to maintain long-term compliance.

The notification letter also stated that in the event the Company does not regain compliance with the Minimum Bid Price Requirement by April 12, 2027, the Company may be eligible for additional time. To qualify for additional time, the Company would be required to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for The Nasdaq Capital Market, with the exception of the bid price requirement, and would need to provide written notice of its intention to cure the deficiency during the second compliance period, by effecting a reverse stock split, if necessary. If the Company meets these requirements, Nasdaq will inform the Company that it has been granted an additional 180 calendar days to regain compliance. However, if it appears to the Staff that the Company will not be able to cure the deficiency, or if the Company is otherwise not eligible, the Staff would notify the Company that its securities will be subject to delisting, at which time the Company may appeal the delisting determination to a Nasdaq Hearings Panel.

The Company intends to continue actively monitoring the bid price for its common stock through April 12, 2027, and will consider available options to resolve the deficiency and regain compliance with the Minimum Bid Price Requirement. There can be no assurance that the Company will regain compliance with the Minimum Bid Price Requirement or maintain compliance with any other Nasdaq continued listing requirement.
