Consolidation financial
"one post-consolidation Common Share for every 25 pre-consolidation Common Shares"
Consolidation is a period when a stock’s price moves within a relatively narrow range, reflecting a balance between buyers and sellers after a prior rise or fall. It matters to investors because it often signals a pause before the next meaningful move — like a coiled spring — and helps with timing trades, setting risk limits and deciding whether momentum will resume upward or reverse downward.
fractional Common Shares financial
"the treatment of fractional Common Shares"
A fractional common share is a portion of a single company share — less than one whole share — that gives you proportional ownership, dividends, and price movement tied to that company. Think of it like buying a slice of a pie instead of the whole pie; it lets investors use small amounts of money to diversify across more stocks and buy high-priced shares they couldn’t afford otherwise, though some broker rules may affect voting or settlement details.
convertible securities financial
"the adjustment of the Company’s outstanding convertible securities"
Convertible securities are bonds or preferred shares that can be exchanged for a company’s common stock at a predetermined price or under specified conditions. They matter because they combine the steadiness of a loan or fixed dividend with the potential upside of ownership; like a safety‑net that carries a one‑time ticket to become a shareholder, they affect expected returns and can dilute existing stock if converted.
beneficial shareholders financial
"the exchange process for registered and beneficial shareholders"
Beneficial shareholders are the people or entities that actually enjoy the economic benefits of owning a company's shares—such as receiving dividends and gains—even if the shares are held in someone else’s name for administrative reasons. Think of it like living in a house where another person’s name is on the deed: you reap the rewards and can influence decisions tied to that property. Investors care because beneficial ownership determines who truly controls votes, influence, and economic exposure, which affects corporate governance, takeover risks, and market transparency.
