On December 18, 2025, DarkPulse, Inc., a Delaware
corporation (the “Company”), issued a press release announcing the execution of a comprehensive Patent and Trademark
License Agreement with UMBRA Technologies Ltd. (BVI) and UMBRA Technologies (US) Inc. The press release is attached hereto as Exhibit
99.1 and is incorporated herein by reference.
