Filing Explained

The completed note settlement is now included in ECARX’s F-1 and F-3 registration statements through this 6-K.

ECARX says it paid the note’s remaining balance in cash at maturity and cancelled it; the disclosed settlement therefore extinguished the note through cash payment.

The 6-K also says it was incorporated by reference into the identified F-1 and F-3 registration statements, becoming part of those statements from the date furnished.

senior convertible note financial
"US$50 million senior convertible note"
A senior convertible note is a loan a company issues that sits near the top of its repayment order and can be exchanged for the company’s stock under set conditions. Think of it like a high-priority IOU that also includes a coupon you can choose to turn into shares instead of taking cash back. It matters to investors because it affects who gets paid first if the company struggles and can dilute existing shareholders if the notes convert into new shares.

A securities purchase agreement is a written contract between a buyer and a seller outlining the terms for buying or selling financial assets such as stocks or bonds. It specifies details like the price, quantity, and conditions of the transaction, similar to a shopping list with agreed-upon terms. For investors, it provides clarity and legal protection when transferring ownership of these financial instruments.

(Nasdaq: ECX) (“ECARX” or the “Company”), a leading global automotive intelligence business, today announced that the US$50 million senior convertible note (the “Note”) issued to a U.S. based institutional investor (the “Investor”) under the securities purchase agreement, dated October 30, 2025 between the Investor and the Company (the “Securities Purchase Agreement”), have matured on October 30, 2026 and that the Company has settled in full all amounts outstanding thereunder.
On the maturity date, the Note was repaid in full and cancelled in accordance with its terms, and no notes issued under the Securities Purchase Agreement remain outstanding. As previously announced, the Company and the Investor also entered into a limited waiver agreement, dated October 14, 2026 (the “Waiver Agreement”), under which the Investor irrevocably waived all of its rights to deliver any additional closing notice and to purchase, or to require the Company to issue and sell, any additional notes at any additional closing under the Securities Purchase Agreement . The Company has paid the US$10 million waiver consideration to the Investor in full. As a result, the Waiver Agreement has become effective in accordance with its terms and no further notes will be issued under the Securities Purchase Agreement.
