Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

ECARX Holdings Inc. (ECX) reports that an agreement with a U.S.-based institutional investor terminates the investor’s right to elect to purchase up to US$100 million of additional convertible notes under a securities purchase agreement dated October 30, 2025. Under a waiver agreement dated October 12, 2026, the investor irrevocably waived that right, and ECARX agreed to pay a one-time US$10 million cash fee on or before October 26, 2026.

ECARX says no further notes will be issued under the purchase agreement. It says the termination removes potential additional share issuance under new notes with an option to be amortized at prices linked to ECARX’s prevailing share price. The amendment corrects an incorrect attachment to Exhibit 10.1.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

convertible notes financial
"up to US$100 million of additional convertible notes"
Convertible notes are a type of short-term loan that a company receives from investors, which can later be turned into company shares instead of being paid back in cash. They matter to investors because they offer a way to support a company early on while giving the potential to own a stake in its success if the company grows and later raises more funding.
registered direct offerings financial
"in one or more registered direct offerings"
A registered direct offering is a way a publicly traded company sells new shares directly to selected investors under a registration with regulators, combining the paperwork of a public sale with the speed of a private deal. For investors it matters because it can dilute existing holdings and signal a company’s need for cash, while offering participating buyers quick access to newly issued stock often at negotiated terms — like buying extra tickets before they go on general sale.
amortized financial
"amortized at prices linked to the Company’s prevailing share price"
Amortized means spreading a cost or a debt repayment into regular portions over a set period so each payment covers part of the principal and, if applicable, interest. For investors, knowing something is amortized shows how much of a company’s payments are scheduled over time, which affects cash flow, reported profits, and the remaining debt burden—similar to how a mortgage or installment plan breaks a large purchase into predictable monthly payments.
prospectus supplements regulatory
"filing of one or more additional prospectus supplements"
A prospectus supplement is an official add-on to a securities prospectus that provides new or updated details about a specific stock, bond, or other offering, such as terms, risks, or financial data. Investors use it like a product label update—checking it tells them what exactly is being offered, any changes from the original plan, and whether the investment's risks, size, or price have shifted, which can affect buy, hold, or sell decisions.

ECARX Terminates US$100 Million of Convertible Note Optionality to Reduce Potential Dilution and Optimize Capital Structure
London, October 15, 2026 — ECARX Holdings Inc. (Nasdaq: ECX) (“ECARX” or the “Company”), a leading global automotive intelligence business, today announced that it has entered into an agreement with a U.S. based institutional investor (the “Investor”) to terminate the Investor’s right to purchase up to US$100 million of additional convertible notes under the securities purchase agreement dated October 30, 2025 (the “Securities Purchase Agreement”).
Under the Securities Purchase Agreement, the Company agreed to issue and sell to the Investor, in one or more registered direct offerings, convertible notes for up to an aggregate principal amount of US$150 million. The Company issued an initial note in the principal amount of US$50 million in October 2025 and, subject to the filing of one or more additional prospectus supplements and the satisfaction of certain other conditions, the Investor had the right to elect to purchase up to US$100 million of additional notes.
Pursuant to the agreement entered into on October 12, 2026 (the “Waiver Agreement”), the Investor has irrevocably agreed to terminate and waive its right to elect to purchase any remaining additional notes and no further notes will be issued under the Securities Purchase Agreement. In consideration, the Company has agreed to pay the Investor a one-time cash fee of US$10 million on or before October 26, 2026.
The termination removes the potential issuance of additional shares under new notes that have the option to be amortized at prices linked to the Company’s prevailing share price. It also simplifies the Company’s capital structure. ECARX’s long-term global growth roadmap is supported by its 2025 convertible notes program, which was upsized to a maximum of US$130 million in July 2026, carries an initial conversion price of US$2.62 and matures in 2028, together with its bank facilities.

Dylan Jeng, Chief Financial Officer of ECARX, commented,
“Terminating the remaining capacity under this facility is a strategic decision to limit further dilution for our shareholders. With funding secured from our institutional noteholders and banking partners, we believe this one-time cost is in the long-term interest of our shareholders and gives us a simpler and clearer capital structure to drive our long-term global growth roadmap.”

Further details of the Waiver Agreement are available in the Form 6-K that the Company will file with the U.S. Securities and Exchange Commission.
