Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

eHealth, Inc. (EHTH) received notice that its common stock closed below Nasdaq’s $1.00 per-share minimum bid price for 30 consecutive business days. The notice does not immediately affect the listing; the stock continues to trade on The Nasdaq Global Select Market.

eHealth has until April 12, 2027 to regain compliance. The closing bid price must be at least $1.00 for 10 consecutive business days during the 180-calendar-day period, and the company must meet the market’s other listing requirements. If it does not comply by the deadline, it may consider an additional 180-calendar-day period if eligible and if it elects to transfer to The Nasdaq Capital Market. eHealth may also consider seeking stockholder approval for a reverse stock split; the company said there is no assurance it will regain compliance.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing Securities
The company received a delisting notice, failed to satisfy a continued-listing rule or standard, or transferred its listing.
Minimum Bid Price Requirement $1.00 per share Nasdaq continued-listing requirement
Below-minimum bid-price period 30 consecutive business days Period preceding Nasdaq's notice
Initial compliance period 180 calendar days Ends April 12, 2027
Required bid-price period 10 consecutive business days At least $1.00 per share during the initial compliance period
Potential additional compliance period 180 calendar days May be available if the company is eligible and elects to transfer to The Nasdaq Capital Market
Minimum Bid Price Requirement regulatory
"the $1.00 per share minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
compliance period regulatory
"an initial compliance period of 180 calendar days"
A compliance period is a defined stretch of time during which a company must meet specific legal, regulatory, or contractual rules and reporting requirements. Think of it like a scheduled inspection window or a homework deadline: failing to satisfy the rules within that window can trigger fines, restrictions, or extra oversight, so investors watch compliance periods as signals of near-term legal risk, potential costs, and impacts on a company’s operations or cash flow.
reverse stock split regulatory
"seeking stockholder approval to effect a reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
The Nasdaq Global Select Market regulatory
"continues to trade on The Nasdaq Global Select Market"

Item 3.01
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On October 14, 2026, eHealth, Inc. (the “Company”) received a written notice (the “Notice”) from The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that, for the last 30 consecutive business days, the bid price for the Company’s common stock (the “Common Stock”) had closed below the $1.00 per share minimum bid price requirement for continued inclusion on The Nasdaq Global Select Market pursuant to Nasdaq Listing Rule 5450(a)(1) (the “Minimum Bid Price Requirement”).

The Notice has no immediate effect on the listing of the Common Stock, which continues to trade on The Nasdaq Global Select Market under the symbol “EHTH”. In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has an initial compliance period of 180 calendar days, or until April 12, 2027, to regain compliance with the Minimum Bid Price Requirement.

To regain compliance, the closing bid price of the Company’s Common Stock must be at least $1.00 per share for a minimum of 10 consecutive business days during the 180-day compliance period ending April 12, 2027, as required under Nasdaq Listing Rule 5810(c)(3)(A), unless the Nasdaq staff exercises its discretion to extend this 10-day period pursuant to Nasdaq Listing Rule 5810(c)(3)(H)), and the Company must otherwise satisfy The Nasdaq Global Select Market’s requirements for listing.

If the Company does not regain compliance by April 12, 2027, the Company may consider additional options, including, if eligible, an additional 180-calendar day compliance period if it elects (and meets the listing standards) to transfer to The Nasdaq Capital Market to take advantage of the additional compliance period offered on that market.

The Company is actively monitoring the closing bid price of its Common Stock and will consider all available options to regain compliance with the Minimum Bid Price Requirement, which may include seeking stockholder approval to effect a reverse stock split. There can be no assurance that the Company will regain compliance with the Minimum Bid Price Requirement during the 180-day compliance period, secure a second 180-day period to regain compliance, maintain compliance with the other Nasdaq listing requirements or be successful in appealing any delisting determination.
