Here are the S-3 shelf registrations from Edison International (EIX) in our archive over the last 12 months, newest first, and each one links through to the document itself with the summary and the scores our analysis gives it.
An S-3 covers the shelf registration that lets an established company sell over time, so if you follow EIX and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full EIX filings page.
Edison International registered Common Stock for purchase through its Dividend Reinvestment and Direct Stock Purchase Plan, with sales contemplated from time to time after effectiveness as determined by market conditions. Participants may reinvest cash dividends or make optional cash investments. At the company’s option, the Plan Administrator will buy newly issued shares or shares in the open market. Edison International receives proceeds from sales of newly issued shares, but no proceeds from open-market purchases; net proceeds are expected to be used for general corporate purposes.
Optional cash investments range from $25 per investment to $20,000 per month. New investors pay a $15 enrollment fee and must make an initial investment of at least $1,000 or authorize withdrawals of at least $100 for ten consecutive transactions. Plan participants must elect to reinvest at least 10% of dividends, if any, paid on shares held in the Plan. Newly issued shares are priced using the average of the high and low sale prices on the investment date; open-market shares use the weighted average price paid by the Plan Administrator. Participants bear the risk of price changes between a request and the transaction.
