On September 30, 2025, ESSA Pharma Inc. (the “Company”) issued a press release announcing that, in connection with its previously announced Business Combination Agreement with XenoTherapeutics Inc. (“Xeno”), a non-profit biotechnology company, under which Xeno will acquire all of the issued and outstanding common shares of the Company (the “Transaction”), the Company received an amended Interim Order from the Supreme Court of British Columbia (the “Court”) on September 25, 2025.

 

The amended Interim Order approves the previously announced date for the Company’s special meeting of the holders of common shares of the Company, optionholders and warrantholders (the “Special Meeting”) of October 3, 2025, the deadline to deliver notices of dissent of October 1, 2025, the Court hearing date for approval of the Arrangement of October 7, 2025 and the deadline of October 3, 2025 for responses for persons intending to attend the October 7th hearing.

 

ESSA’s Special Meeting will reconvene at 2:00 p.m. (Pacific Time) on October 3, 2025. The Special Meeting will still be held online via a live interactive webcast on the internet at https://meetnow.global/MHPMJ4R.
