"directors were elected by a plurality of the votes cast"

"through a non-binding advisory vote"
A non-binding advisory vote is a shareholder vote that expresses investors’ opinion on a proposal (such as executive pay, corporate policy, or governance practices) but does not legally force the company to act. Think of it like a customer survey: it signals whether owners approve or disapprove and can pressure boards and managers to change course, so investors watch the result as an indicator of governance risk and potential future shifts in company strategy or leadership.

"as the Company’s independent registered public accounting firm"
An independent registered public accounting firm is an outside accounting company officially registered with the government regulator to examine and report on a public company's financial records and controls. Investors treat its reports like an impartial inspector’s certificate — they add credibility to financial statements, help spot errors or misleading claims, and reduce the risk that shareholders are relying on unchecked or biased numbers.

Item 5.07         Submission of Matters to a Vote of Security Holders

On November 4, 2026, Ethan Allen Interiors Inc. (“Ethan Allen” or the “Company”) held its 2026 Annual Meeting of Stockholders (the “Annual Meeting”). Of the 25,204,416 shares of the Company’s common stock, $0.01 par value, eligible to vote at the Annual Meeting, 21,110,784 shares were present in person or represented by proxy. Stockholders were asked to elect five directors from among the five nominees recommended by the Company’s Board of Directors (the “Board”) and the five nominees proposed by DGB Investment, Inc. and its affiliates. In accordance with the Company’s bylaws, because the number of nominees exceeded the number of directors to be elected, directors were elected by a plurality of the votes cast, meaning that the five nominees receiving the highest number of “FOR” votes were elected. Based on the final voting results certified by the independent inspector of election, Maria Eugenia Casar, Tara I. Stacom, Douglas G. Bergeron, Kristine E. Miller, and Stephen Oblak were elected to serve a one-year term until the 2027 Annual Meeting of Stockholders. Each director will hold office until his or her successor has been duly elected and qualified or until the director’s earlier death, resignation, disqualification, or removal.
