Item 5.02 Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 31, 2026, Vivek Jetley, President and Head of Insurance,
Healthcare and Life Sciences of ExlService Holdings, Inc. (the “Company”), notified the Company of his intention to resign
from his positions with the Company, effective as of October 26, 2026. Mr. Jetley is resigning to pursue an opportunity outside the Company.
Mr. Jetley’s resignation did not result from any disagreement with the Company, its Board of Directors, or management regarding
the Company’s operations, policies, or practices.
Until the effective date of his departure, Mr. Jetley will continue
to serve in his current role and assist the Company with an orderly transition of duties. Thereafter, Mr. Jetley’s duties and responsibilities
will be assumed by other members of the Company’s management team.
A copy of the press release announcing Mr. Jetley’s resignation
is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

YORK, Sept. 2, 2026 — ExlService Holdings, Inc. (NASDAQ: EXLS), a global data and AI company, announced today that,
effective October 26, 2026, Vivek Jetley, president and head of Insurance, Healthcare and Life Sciences is departing EXL to assume the
role of Chief Executive Officer of Hexaware Technologies Limited. He will continue to serve in his current role and assist with the transition
of his responsibilities over the coming months.
