Rhea-AI Filing Summary

ENvue Medical, Inc. entered into a secured financing agreement with Alpha Capital Anstalt, which agreed to provide up to $1,000,000 in aggregate principal through tranches agreed by the parties. The lender funded an initial $250,000 tranche on October 8, 2026. Amounts outstanding accrue interest at 10% per annum; following and during an Event of Default, the rate increases to the lesser of 18% per annum or the highest rate permitted by applicable law. Principal and accrued interest are due December 31, 2026, although the lender may extend maturity in three-month increments through December 31, 2028. The obligations are secured by a continuing security interest in substantially all company assets, including accounts, inventory, certain deposits, intellectual property and subsidiary equity.

Separately, holders of at least 70% of the outstanding Series X Non-Voting Convertible Preferred Stock agreed to amend its terms. The amendment sets the conversion price at $0.50 per share, subject to adjustment, and revises provisions governing subsequent equity sales, including conversion-price adjustments for certain dilutive issuances. ENvue Medical filed the Certificate of Amendment with the Delaware Secretary of State on October 12, 2026.

Filing Explained

For scale, the financing’s $250,000 initial tranche was disclosed alongside ENvue’s $1,084,000 cash balance at June 30, 2026; at the second quarter’s reported operating cash-use rate, that balance equaled 36.7 days—a historical comparison, not a forecast.

security interest financial
"a continuing security interest in substantially all of the assets"
A security interest is a legal claim a lender or creditor holds on a borrower's asset as collateral to secure repayment; if the borrower fails to pay, the creditor can seize or sell that asset to recover money owed. Think of it like a pawnshop tag on an item that gives the pawnbroker the right to sell it if the loan isn't repaid. For investors, security interests matter because they change how safely lenders and bondholders can recover funds and affect the hierarchy of claims if a company faces financial trouble.
Event of Default financial
"Following the occurrence and during the continuance of an Event of Default"
An event of default is a specific breach of a loan or bond agreement—such as missed payments or breaking agreed rules—that gives lenders the legal right to act, for example by demanding immediate repayment, seizing collateral, or accelerating other obligations. For investors, it’s a red flag because it can sharply reduce a company’s ability to operate or raise money, like a car lender repossessing a vehicle after missed payments, and often leads to falling share or bond prices.
conversion price financial
"lower the conversion price of the Series X Preferred Stock"
The conversion price is the fixed price at which a convertible security, like a bond or preferred stock, can be exchanged for shares of common stock. It acts like a set rate that determines how many shares an investor can receive if they choose to convert their investment. This helps investors understand the value and potential benefits of converting their securities into company shares.
subsequent equity sales financial
"provisions governing subsequent equity sales"
