Rhea-AI Filing Summary

Femasys Inc. appointed John Moorhead as a director, effective October 30, 2026. Kenneth D. Eichenbaum, M.D., M.S.E., resigned that day after Pointillist Global Macro Series of Pointillist Partners LLC terminated its right to nominate a director under the November 3, 2025 securities purchase agreement. Femasys stated that Eichenbaum’s resignation was not due to a dispute or disagreement.

Moorhead’s appointment followed board designation rights granted to Nantahala Capital Management, LLC under an August 7, 2026 side letter, which permits up to two designees subject to minimum ownership thresholds. The board determined Moorhead is independent under Nasdaq listing requirements; he will serve on the Audit and Compensation Committees as a Class II director for a term expiring at the 2029 annual meeting, when he will stand for election. He has more than two decades of experience and spent 12 years at Unilever’s Seventh Generation.

board designation rights technical
"pursuant to the board designation rights granted to Nantahala Capital Management, LLC"
minimum ownership thresholds financial
"subject to certain minimum ownership thresholds of the Company’s outstanding common stock"
Class II director technical
"serve as a Class II director for a term expiring at the 2029 annual meeting"
A class II director is a member of a company’s board who belongs to one of several staggered groups of directors, each group standing for election in different years. For investors, this matters because staggered terms slow wholesale board turnover—like rotating members of a neighborhood committee—making sudden changes in control or strategy harder and affecting how quickly shareholders can influence corporate direction.
independent director regulatory
"is an independent director for purposes of the Nasdaq listing requirements"
An independent director is a member of a company's board of directors who is not involved in the company's day-to-day operations and has no significant relationships with the company that could influence their judgment. Their role is to provide unbiased oversight and ensure the company is managed in the best interests of all shareholders. This helps build trust and confidence among investors by promoting transparency and accountability.
