Item 3.01. Notice of Delisting or Failure to Satisfy a Continued
Listing Rule or Standard; Transfer of Listing.
As previously disclosed, Fifth Era Acquisition Corp. I (the “Company”)
received a written notice (the “Notice”) from the Nasdaq Listing Qualifications Department of The Nasdaq Stock Market
(“Nasdaq”) on September 14, 2026 indicating that the Company was not in compliance with Listing Rule 5450(a)(2), which
requires the Company to have at least 400 Total Holders (as defined by Nasdaq Listing Rule 5005(a)(45)) for continued listing on the Nasdaq
Global Market (the “Minimum Total Holders Requirement”). The Notice also stated that the Company had until October
29, 2026, to submit a plan to regain compliance with the Minimum Total Holders Requirement. On October 28, 2026, the Company submitted
its plan to Nasdaq.
On November 5, 2026, the Company received a notice from Nasdaq, stating
that based on the review of the materials that the Company submitted, Nasdaq determined to grant the Company an extension of time to regain
compliance with the Minimum Total Holders Requirement. The terms of the extension are as follows: on or before March 15, 2027, the Company
must file with Nasdaq documentation from its transfer agent, or independent source, that demonstrates that the Company’s Class A
Ordinary Shares have a minimum of 400 Total Holders. In the event the Company does not satisfy the terms, Nasdaq will provide written
notification that the Company’s securities will be delisted. At that time, the Company may appeal Nasdaq’s determination to
a Listing Qualifications Panel.
Forward-Looking Statements
Certain information contained in this Current Report on Form 8-K consists
of forward-looking statements within the meaning of Section 27A of the Securities Act and Section 21E of the Exchange Act.
These forward-looking statements involve risks, uncertainties and assumptions that are difficult to predict. Words such as “must,”
“will,” “may,” “intends,” and similar expressions, or the use of future tense, identify forward-looking
statements, but their absence does not mean that a statement is not forward-looking. Such forward-looking statements are not guarantees
of performance and actual actions or events could differ materially from those contained in such statements. For example, there can be
no assurance that the Company will regain compliance with the Minimum Total Holders Requirement during any applicable cure period or be
able to transfer its securities to the Nasdaq Capital Market. Additional factors that could cause actual results to differ from the forward-looking
statements herein include potential adverse effects on the Company’s business related to the disclosures made in this Current Report
on Form 8-K, volatility of the Company’s stock price, and the other risk factors discussed under the caption “Risk Factors”
in the Company’s Annual Report on Form 10-K for the year ended December 31, 2025 and the Company’s other filings with the
Securities and Exchange Commission. The forward-looking statements contained in this Current Report on Form 8-K speak only as of the date
of this report and the Company undertakes no obligation to publicly update any forward-looking statements to reflect changes in information,
events or circumstances after the date of this report, unless required by law.
