Rhea-AI Filing Summary

Fold Holdings, Inc. has filed a prospectus supplement covering 49,161,055 shares of common stock, 925,590 SATS warrants to purchase common stock, and 12,434,658 shares of common stock issuable upon exercise of public warrants. The supplement incorporates a new Current Report on Form 8‑K into the existing Form S‑1 prospectus.

The attached 8‑K describes a First Master Loan Agreement Amendment between Fold, Inc. and Two Prime Lending Limited. The amendment increases the interest rate on the bitcoin‑collateralized facility from 6.5% to 8.5% per annum, while lowering several collateral thresholds, including the Initial Collateral Level to 160% and the Liquidation Level to 115%. The facility provides for loan assets of up to 45,000,000 USD in a fixed‑term loan with a maturity date of September 30, 2026, secured by bitcoin held in segregated cold storage at a qualified custodian, with detailed rules for any permitted re‑pledge of collateral.

Insights

Fold raises cost of its bitcoin-backed credit line while easing collateral cushions.

The company’s subsidiary has amended its master loan agreement with Two Prime Lending Limited for a bitcoin‑collateralized facility of up to 45,000,000 USD. The interest rate rises from 6.5% to 8.5 percent per ann., making this source of liquidity more expensive, while key collateral ratios such as the Initial Collateral Level are reduced to 160%, and the Liquidation Level to 115%.

The structure continues to rely on bitcoin as collateral, held in fully segregated cold storage at a qualified custodian under a tri‑party control agreement that grants the lender a first‑priority, perfected security interest and post‑default instruction rights. The amendment also allows a limited “Permitted Re‑Pledge” of the lender’s rights to the collateral, though any counterparty may access collateral only after an Event of Default that continues beyond applicable notice and cure periods.

The facility is a fixed‑term loan with a First Utilization Date of 9/30/2025 and a Maturity Date of 9/30/2026. Changes in bitcoin prices and compliance with the revised collateral levels will influence how much of the 45,000,000 USD capacity can be drawn and maintained over the life of the agreement.
