Rhea-AI Filing Summary

Fox Corp (FOX) completed its acquisition of Roku on November 6, 2026. Under the merger terms, Roku stockholders were entitled to $95.30 in cash and 0.9799 FOX Class A share for each Roku Class A or Class B share. FOX expects to issue approximately 144.5 million shares and pay approximately $14.1 billion in aggregate cash consideration, excluding vested or converted equity awards and Dissenting Shares.

FOX borrowed $2.0 billion under its term loan and $8.4 billion under a bridge facility to fund part of the merger cash consideration and other amounts; the bridge matures 364 days after closing. FOX also entered a $1.5 billion unsecured revolving facility, which it may request to increase to $2.25 billion. As of November 6, 2026, FOX had not borrowed under the revolver, and approximately $29 million of letters of credit had been issued.

FOX expects approximately $400 million of run-rate cost synergies within two years and anticipates the transaction will be accretive to free cash flow per share by the second full year after closing. Roku founder Anthony Wood joined FOX's board and will serve as Co-Chair FOX Digital Platforms.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Former Roku holders now own about twenty-six percent of FOX common stock, while FOX holders own about seventy-four percent.

In connection with the completed acquisition, FOX converted shares remaining under Roku’s pre-existing equity plan into a separate reserve for FOX Stock Plan awards, adding capacity beyond the shares otherwise authorized under FOX’s plan.

Awards from the reserve are limited to recipients who were not FOX or its affiliates’ employees at closing, excluding Roku and its subsidiaries; they cannot be incentive stock options and cannot be granted on or after January 1, 2034.

If reserved shares are issued through awards, the increased share count would reduce existing holders’ percentage ownership.

Exchange Ratio financial
"0.9799 of a share (the “Exchange Ratio”)"
The exchange ratio is the number used to decide how many shares of one company you get for each share you own in another company during a merger or acquisition. It’s like a recipe that tells you how to swap shares fairly, ensuring both companies’ values are balanced. This ratio matters because it determines how ownership divides between the companies' shareholders.
Per Share Cash Amount financial
"$95.30 in cash (the “Per Share Cash Amount”)"
Bridge Facility financial
"a senior unsecured bridge facility in an aggregate principal amount of $8.4 billion"
A bridge facility is a short-term loan or credit line companies use to cover immediate cash needs while they arrange longer-term financing, sell assets, or complete a larger funding deal. Investors care because it temporarily props up a company’s finances and can signal urgent funding gaps; like a bridge that lets traffic keep moving until a permanent road is built, it reduces short-term default risk but may carry higher cost or dilution if extended.
operating income leverage ratio financial
"maintain an operating income leverage ratio of 4.5 to 1.0"
run-rate cost synergies financial
"approximately $400 million of run-rate cost synergies within two years"
Run-rate cost synergies are the ongoing, annualized savings a company expects to achieve after combining operations with another business, once integration actions (like consolidating offices or cutting overlapping staff) are fully in place. For investors, they matter because they show how a deal is expected to improve future profitability and cash flow — like projecting the yearly savings from merging two households so you can judge whether the combination was worth the price paid.

Item 1.01.

Entry into a Material Definitive Agreement.

Amended and Restated Term Loan Agreement

On November 5, 2026, the Company entered into an Amended and Restated Term Loan Agreement (the “Amended and Restated Term Loan Agreement”), among the Company, as borrower, the lenders party thereto and Morgan Stanley Senior Funding, Inc. (“Morgan Stanley”), as administrative agent, which amends and restates in its entirety the Company’s existing Term Loan Agreement, dated as of June 30, 2026 (the “Term Loan Agreement”), by and among the Company, as borrower, the lenders party thereto and Morgan Stanley, as administrative agent.

The Amended and Restated Term Loan Agreement amended the Term Loan Agreement to, among other things, (i) increase the commitments thereunder from $1.0 billion to $2.0 billion, (ii) remove the ability of the Company to incur additional term loans thereunder and (iii) permit full cash netting in connection with the calculation of the financial covenant contained therein.

On the Closing Date, the Company borrowed $2.0 billion of term loans under the Amended and Restated Term Loan Agreement, the proceeds of which were used to pay a portion of the cash consideration and other amounts payable in connection with the Mergers.

Bridge Credit Agreement

On November 5, 2026, the Company entered into a bridge credit agreement (the “Bridge Credit Agreement”), among the Company, as Borrower, the lenders party thereto (the “Bridge Lenders”) and Morgan Stanley, as administrative agent, pursuant to which the Bridge Lenders party thereto committed to provide, contingent upon the consummation of the Mergers and certain other customary conditions to funding, a senior unsecured bridge facility in an aggregate principal amount of $8.4 billion (the “Bridge Facility”). On the Closing Date, the Company borrowed $8.4 billion of loans under the Bridge Facility, the proceeds of which were used to pay a portion of the cash consideration and other amounts payable in connection with the Mergers.

The Bridge Facility matures on the date that is 364 days after the Closing Date. The Company may prepay, in whole or in part, any amounts of the Bridge Facility at any time.

The loans under the Bridge Facility will bear interest, at the Company’s option, at either (1) the Base Rate (as defined in the Bridge Credit Agreement) which is a fluctuating interest rate per annum equal to the sum of (a) the highest of (i) the prime rate, (ii) the Federal Funds Rate (as defined in the Bridge Credit Agreement) plus 0.50% or (iii) the Term SOFR (as defined in the Bridge Credit Agreement) for a one-month interest period plus 1.00% plus (b) the applicable margin for Base Rate loans, or (2) the sum of (a) the Term SOFR (as defined in the Bridge Credit Agreement) plus (b) the applicable margin for Term SOFR loans. The applicable margins for Base Rate loans and Term SOFR loans are based on the Company’s long-term senior unsecured non-credit enhanced debt ratings.

Under the Bridge Credit Agreement, the Company is required to pay a commitment fee on the unused commitments under the Bridge Credit Agreement based on the Company’s long-term senior unsecured non-credit enhanced debt ratings. The commitment fee accrues during the period commencing on November 5, 2026 and ending on the date on which the commitments under the Bridge Credit Agreement terminate (including as a result of the funding thereof).

The Bridge Credit Agreement contains customary affirmative and negative covenants, each with customary exceptions. Additionally, the Bridge Credit Agreement requires the Company to maintain an operating income leverage ratio of 4.5 to 1.0, subject to increase for four quarters in certain situations in connection with material acquisitions.

In addition to Morgan Stanley, as Administrative Agent and a Bridge Lender, the members of the syndicate include: Citibank, N.A., Deutsche Bank AG New York Branch, Goldman Sachs Bank USA and JPMorgan Chase Bank, N.A., and/or their respective affiliates as Bridge Lenders. In the ordinary course of their respective businesses, one or more of the Bridge Lenders, or their affiliates, have or may have various relationships with the Company and its subsidiaries involving the provision of a variety of financial services, including cash management, commercial banking, investment banking, advisory or other financial services, for which they received, or will receive, customary fees and expenses. In addition, the Company and its subsidiaries may have entered into or may enter into in the future certain engagements with one or more Bridge Lenders or their affiliates relating to specific endeavors.

Revolving Credit Agreement

On November 6, 2026, the Company entered into a credit agreement (the “Revolving Credit Agreement”), among the Company, as Borrower, the lenders party thereto (the “Revolving Lenders”), the issuing banks party thereto and Citibank, N.A., as administrative agent.

The Revolving Credit Agreement consists of a $1.5 billion five-year unsecured revolving credit facility (which the Company may request to increase to $2.25 billion), with a sublimit of $150.0 million available for the issuance of letters of credit denominated in U.S. dollars. Funds from the Revolving Credit Agreement are available for the general corporate purposes of the Company and its subsidiaries. The maturity date is November 6, 2031, which may, under certain circumstances, be extended for up to two additional one-year periods at the Company’s request. The Company may terminate the unused portion of the credit facility commitments under the Revolving Credit Agreement in whole or in part at any time during the term of the Revolving Credit Agreement. Once terminated, a commitment may not be reinstated.

Any advance by the Revolving Lenders to the Company as part of a borrowing under the Revolving Credit Agreement may be available, at the Company’s option, at either (1) the Base Rate (as defined in the Revolving Credit Agreement), which is a fluctuating interest rate per annum equal to the sum of (a) the highest of (i) the prime rate, (ii) the Federal Funds Rate (as defined in the Revolving Credit Agreement) plus 0.50% or (iii) the Term SOFR (as defined in the Revolving Credit Agreement) for a one-month interest period plus 1.00%, plus (b) the applicable margin for Base Rate advances, or (2) the sum of (a) the Term SOFR (as defined in the Revolving Credit Agreement), plus (b) the applicable margin for Term SOFR advances. The applicable margins for Base Rate advances and Term SOFR advances are based on the Company’s long-term senior unsecured non-credit enhanced debt ratings.

Under the Revolving Credit Agreement, the Company is required to pay a facility fee based on the Company’s long-term senior unsecured non-credit enhanced debt ratings.

The Revolving Credit Agreement contains customary affirmative and negative covenants, each with customary exceptions. Additionally, the Revolving Credit Agreement requires the Company to maintain an operating income leverage ratio of 4.5 to 1.0, subject to increase for four quarters in certain situations in connection with material acquisitions.

On and as of the date hereof, the Company has not borrowed any funds under the Revolving Credit Agreement, but approximately $29 million of letters of credit have been issued under the Revolving Credit Agreement.

In addition to Citibank, N.A., as Administrative Agent and a Revolving Lender, the members of the syndicate include: Deutsche Bank AG New York Branch, Goldman Sachs Bank USA, Morgan Stanley and JPMorgan Chase Bank, N.A., or their respective affiliates as Co-Syndication Agents, Joint Lead Arrangers, Joint Bookrunners and Revolving Lenders. In the ordinary course of their respective businesses, one or more of the Revolving Lenders, or their affiliates, have or may have various relationships with the Company and its subsidiaries involving the provision of a variety of financial services, including cash management, commercial banking, investment banking, advisory or other financial services, for which they received, or will receive, customary fees and expenses. In addition, the Company and its subsidiaries may have entered into or may enter into in the future certain engagements with one or more Revolving Lenders or their affiliates relating to specific endeavors.

The foregoing descriptions of the Amended and Restated Term Loan Agreement, the Bridge Credit Agreement and the Revolving Credit Agreement do not purport to be complete (and, in the case of the Amended and Restated Term Loan Agreement, describe only the more significant amendments made to the Term Loan Agreement) and are qualified in their entirety by reference to the full text of the Amended and Restated Term Loan Agreement, the Bridge Credit Agreement and the Revolving Credit Agreement, which are filed as Exhibits 10.1,10.2 and 10.3, respectively, to this Current Report on Form 8-K and are incorporated by reference herein.

FOX CORPORATION COMPLETES ACQUISITION OF ROKU

FOX Is Now One of the Leading Streaming Businesses in the U.S., Inclusive of Roku, Tubi and FOX One

Roku’s Open Distribution Platform to Continue Serving More Than 100 Million Households Worldwide, with Access to Thousands of Apps and Channels Across the Streaming TV Ecosystem

New York, NY – November 6, 2026 – Fox Corporation (Nasdaq: FOXA, FOX) (“FOX” or the “Company”) today announced the successful completion of its acquisition of Roku, Inc. (Nasdaq: ROKU) (“Roku”).

With this acquisition FOX has entered a new transformational era — creating an innovative scaled media and technology company with superior reach, engagement and monetization capabilities. The combination of FOX’s premium live sports, news and local programming with Roku’s open connected TV platform reaching across more than 100 million households creates new opportunities for the Company to serve its viewers, advertisers and partners.

This transaction accelerates FOX’s digital strategy and expands FOX’s business mix towards high-growth streaming and connected TV verticals, strengthening our long-term growth profile. The Company expects to achieve approximately $400 million of run-rate cost synergies within two years following the transaction close, with additional potential revenue upside, and anticipates that the transaction will be accretive to free cash flow per share by the second full year after closing.

Importantly, from an operating standpoint, Roku will continue to play its role as a leading open ecosystem for the broader streaming industry. A key element of Roku’s ubiquity is the choice it offers viewers and the value it provides to content partners. Together, FOX and Roku will preserve and build on these strengths.

Lachlan K. Murdoch, Executive Chair and Chief Executive Officer of Fox Corporation, said:

“The closing of this acquisition advances the long-term strategy of FOX. Beginning today, our top priority for the combined company is to continue to relentlessly serve audiences and partners, while reinforcing the openness and choice that is the essence of the Roku platform. Our shared entrepreneurial passion and clear conviction toward building the future together with our new Roku colleagues gives us great confidence in the opportunities ahead of us.”

Roku founder Anthony Wood will join the FOX board of directors. He will also serve as Co-Chair FOX Digital Platforms, the newly formed division that includes Roku, Tubi, FOX One, Red Seat Ventures, and other digital products and services across the Company, alongside Paul Cheesbrough, who assumes the role of Co-Chair and CEO FOX Digital Platforms.

Anthony Wood added:

“We started Roku more than two decades ago to give people a better way to watch TV, and that mission doesn’t change today. What does change is our reach and resources: FOX has a deep respect for Roku’s culture and wholly shares our commitment to staying open to every content partner. Our teams will keep building and innovating as they always have, now with the support and capabilities of FOX behind us. I’m proud of what Roku’s employees have built, and I’m excited about what comes next.”

Transaction Details

Under the terms of the merger agreement, Roku stockholders are entitled to receive $95.30 in cash and 0.9799 shares of FOX Class A common stock for each share of Roku Class A and Roku Class B common stock they owned immediately prior to closing. As a result of the transaction, FOX stockholders own approximately 74% of the outstanding shares of FOX common stock and former Roku stockholders own approximately 26%.

With the acquisition complete, Roku shares will cease trading on the Nasdaq as of today.
