Rhea-AI Filing Summary

Franklin BSP Capital Corp (FRBP) issued $300.0 million aggregate principal amount of 7.250% notes due 2029 in a private offering that closed October 30, 2026. The notes were issued at 99.355% of par; net proceeds were approximately $294.7 million after the initial purchaser discount and estimated offering expenses. The company intends to use the proceeds for general corporate purposes, including repayment of indebtedness that may include certain credit facilities.

The notes are general unsecured obligations, mature October 30, 2029, and bear interest at 7.250% per year, payable semi-annually on April 30 and October 30 beginning April 30, 2027. They rank pari passu with unsecured unsubordinated debt, senior to expressly subordinated debt, effectively junior to secured debt to the extent of collateral value, and structurally junior to debt, including trade payables, of subsidiaries, financing vehicles and similar facilities. A Change of Control Repurchase Event generally requires an offer at 100% of principal plus accrued and unpaid interest.

The company must file an exchange-offer registration statement and use commercially reasonable efforts to have it declared effective; if it cannot effect the exchange offer, it must file a shelf registration statement covering resale of the notes. Failure to satisfy registration obligations by specified dates requires additional interest.

Filing Explained

The indenture adds asset-coverage and, if Exchange Act reporting ends, financial-information duties for noteholders.

The indenture for the notes, which the filing says were issued on October 30, 2026, adds an asset-coverage covenant requiring Franklin BSP to comply with the Investment Company Act requirement, as modified by Section 61(a), even if it is not otherwise subject to it.

The filing says this covenant is subject to important limitations and exceptions. If Franklin BSP is no longer subject to Exchange Act reporting requirements, it must provide financial information to noteholders and the trustee.

qualified institutional buyers regulatory
"persons reasonably believed to be qualified institutional buyers"
Qualified institutional buyers are large organizations, like big investment firms or banks, that are allowed to buy certain types of investment opportunities not available to everyday investors. Their size and experience matter because it ensures they understand and can handle complex financial deals, making markets more efficient and secure.
Regulation S regulatory
"in reliance on Regulation S under the Securities Act"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.
pari passu financial
"rank pari passu with all existing and future unsecured unsubordinated indebtedness"
An instruction that different claims, securities, or creditors are treated equally and share rights or payments on the same priority level. For investors, it means their position will be paid or have voting power alongside others in the same class rather than being favored or subordinated—think of several people standing in one bus line who all get on together rather than some cutting ahead. That parity affects expected recovery in reorganizations, dividend order, and relative risk.
Change of Control Repurchase Event financial
"on the occurrence of a “Change of Control Repurchase Event”"
A change of control repurchase event happens when a company is sold or otherwise taken over and that sale triggers contractual rights for holders of stock, options, or debt to force the company to buy their securities back for cash. Think of it like a lease that lets the tenant cash out when the building is sold: it gives certain investors a predictable exit price and timeline. This matters because it can change who owns the company, alter cash on hand, affect future returns and dilution, and influence how attractive a takeover or investment looks.

The Notes are general unsecured obligations of the Company that rank senior in right of payment to all of the Company’s existing and future indebtedness that is expressly subordinated in right of payment to the Notes, rank pari passu with all existing and future unsecured unsubordinated indebtedness issued by the Company, rank effectively junior to any of the Company’s secured indebtedness (including unsecured indebtedness that the Company later secures) to the extent of the value of the assets securing such indebtedness, and rank structurally junior to all existing and future indebtedness (including trade payables) incurred by the Company’s consolidated and unconsolidated subsidiaries, financing vehicles or similar facilities.

The Indenture contains certain covenants, including covenants requiring the Company to comply with the asset coverage requirements of Section 18(a)(1)(A) as modified by Section 61(a) of the Investment Company Act of 1940, as amended, whether or not it is subject to those requirements, and to provide financial information to the holders of the Notes and the Trustee if the Company is no longer subject to the reporting requirements under the Securities Exchange Act of 1934, as amended. These covenants are subject to important limitations and exceptions that are described in the Indenture. In addition, on the occurrence of a “Change of Control Repurchase Event,” as defined in the Indenture, the Company will generally be required to make an offer to purchase the outstanding Notes at a price equal to 100% of the principal amount of such Notes plus any accrued and unpaid interest on the Notes repurchased to, but not including, the date of purchase.

The Notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from such registration requirements. The foregoing description of the Indenture does not purport to be complete and is qualified in its entirety by reference to the full text of the Base Indenture and the Fifth Supplemental Indenture, filed as Exhibits 4.1 and 4.2 hereto, respectively, and incorporated herein by reference.
