Rhea-AI Filing Summary

Great Elm Capital Corp. (GECC) reported third-quarter 2026 net investment income of $2.4 million, or $0.17 per share, down from $4.5 million, or $0.32 per share, in the second quarter. Total investment income was $8.7 million versus $10.9 million in the prior quarter; the company attributed lower NII to lower investment income and reinstated incentive-fee accruals.

Net assets were $102.7 million, or $7.40 per share, down 6.9% quarter over quarter, primarily due to realized and unrealized investment losses, including a $3.3 million decrease in the CLO Formation JV’s fair value. Third-quarter earnings per share were a $0.30 loss, and realized and unrealized losses totaled approximately $6.6 million. As of September 30, 2026, GECC had $6 million of cash and money-market investments, $44 million of revolver availability and $154.9 million of total debt outstanding at par. The board declared a $0.25-per-share fourth-quarter distribution, payable December 31, 2026, to holders of record December 15, 2026. From July 1 through October 30, GECC repurchased 241,235 shares for $1.2 million, averaging $4.95 per share, a 33% discount to September 30 NAV.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Net asset value financial
"net asset value (NAV) on September 30, 2026"
Net asset value is the total value of an investment fund's assets minus any liabilities, divided by the number of shares or units outstanding. It represents the per-share worth of the fund, similar to how the value of a house is determined by its total worth after debts are subtracted. Investors use it to gauge the true value of their holdings and to compare different investment options.
Asset coverage ratio financial
"asset coverage ratio was 166.3%"
Asset coverage ratio measures how much of a company’s debt or preferred claims could be paid off using its tangible assets if the business had to be sold. It’s a safety check for investors and creditors, showing the size of the asset “cushion” available to meet obligations; a higher ratio means more protection, like having enough savings and sellable belongings to cover outstanding bills, while a low ratio signals greater risk of loss.
CLO Formation JV financial
"decrease in the fair value of the CLO Formation JV investment"
PIK financial
"Non-affiliated, non-controlled investments (PIK)"
Payment In Kind (PIK) refers to interest or dividends paid with additional securities instead of cash. The company adds interest to the principal or issues more bonds/shares rather than paying cash. PIK conserves cash short-term but is riskier as debt compounds over time.
Incentive fees financial
"reinstatement of incentive fee accruals"
A performance-based charge paid to a fund or asset manager when investments beat a preset target or benchmark; think of it as a bonus for hitting or exceeding agreed returns. It matters to investors because it aligns the manager’s pay with results—encouraging strong performance—but it also reduces investors’ net returns and can encourage riskier strategies if the fee structure rewards short-term gains over steady growth.
Total investment income $8.7 million Down from $10.9 million in Q2 2026
Net investment income $2.4 million ($0.17 per share) Down from $4.5 million ($0.32 per share) in Q2 2026

PALM BEACH GARDENS, Florida, November 2, 2026 – Great Elm Capital Corp. (“we,” “our,” the “Company” or “GECC”) (NASDAQ: GECC), a business development company, today announced its financial results for the third quarter ended September 30, 2026.

Management Commentary

Jason Reese, Chairman of the Board of Directors and Chief Executive Officer of the Company, stated: “Our third quarter results reflect a challenging credit environment and continued pressure on certain portfolio investments, particularly our CLO joint venture. While net investment income and NAV declined during the quarter, we remain focused on strengthening portfolio performance, maintaining disciplined underwriting standards and positioning GECC for more consistent earnings and long-term value creation.

We made meaningful progress advancing our investment strategy during the quarter, expanding our pipeline of private investment opportunities and further diversifying the portfolio. We continue to emphasize credit quality, attractive risk-adjusted returns and durable cash income, while leveraging our institutional relationships to access differentiated opportunities across private credit and select equity investments. Importantly, our underlying credit portfolio remains healthy. We also saw positive momentum across our specialty finance platform, with distributions from Great Elm Specialty Finance increasing meaningfully during the quarter.

We remain actively engaged with our CLO partners to address performance and identify opportunities to enhance the value of those investments. At the same time, we continue to manage our balance sheet proactively, reducing our highest-cost debt while maintaining substantial liquidity and financial flexibility. We also repurchased shares at a significant discount to NAV, reflecting our confidence in the long-term value of our portfolio and our commitment to disciplined capital allocation.

Looking ahead, we believe our growing pipeline of differentiated investments, strong liquidity position and continued focus on portfolio optimization provide a solid foundation for improving earnings performance and creating long-term shareholder value.”
