1.01 Entry into a Material Definitive Agreement
On
January 26, 2026, Global Interactive Technologies, Inc. (the “Company”) entered into a definitive agreement relating to the
official theme song for the animated feature The Legend of MegaRace, to be performed by ATEEZ.
Pursuant
to the agreement, the Company acquired ownership of the master recording of the theme song, together with worldwide rights to distribute
and commercially exploit the recording in connection with the film and related promotional activities. The agreement also provides for
the distribution of certain promotional content through the Company’s owned digital platforms.
The
agreement was entered into following completion of contractual negotiations and receipt of all required approvals. The financial terms
of the agreement were not material and are not disclosed.
The
foregoing description of the agreement does not purport to be complete and is qualified in its entirety by reference to the full agreement.
