Rhea-AI Filing Summary

Hope Bancorp, Inc. (HOPE) announced that its wholly owned subsidiary, Bank of Hope, has received all required regulatory approvals to complete the previously announced acquisition of the Commercial Banking Unit of SMBC MANUBANK, a subsidiary of SMBC Americas Holdings, Inc. and Sumitomo Mitsui Banking Corporation. Approvals were granted by the Federal Deposit Insurance Corporation and the California Department of Financial Protection and Innovation. The transaction is expected to close early in the fourth quarter of 2026, subject to the satisfaction of customary closing conditions.

Bank of Hope and SMBC have also entered into a collaboration and partnership agreement under which Bank of Hope will provide commercial and consumer banking services in the United States to SMBC’s Japan-based middle market and retail customers after closing. Hope Bancorp reports that Bank of Hope had $18.99 billion in total assets as of June 30, 2026 and operates 45 full-service branches in eight U.S. states under the Bank of Hope banner and 28 branches in Hawaii under the Territorial Savings banner, plus additional loan production offices and a representative office in Seoul.

Filing Explained

Regulatory approvals are complete, but the MANUBANK acquisition remains unclosed; consideration and ownership effects are not disclosed.

The company reports that Bank of Hope received all required regulatory approvals from the FDIC and California’s Department of Financial Protection and Innovation for its acquisition of the Commercial Banking Unit of SMBC MANUBANK.

Closing is still pending: customary conditions must be satisfied, and the transaction is expected to close in the early fourth quarter of 2026.

The filing gives no consideration or share-issuance terms, so it does not establish a cash obligation or ownership change for existing common holders.

The related collaboration agreement with SMBC becomes effective only when the transaction closes; the filing therefore does not report that the new customer-service arrangement has begun.

The stated resolution path is completion of the closing conditions and the acquisition closing, rather than the regulatory-approval process, which the company says is complete.
