On December 11, 2025, Scott A. Minder notified Hyster-Yale, Inc. (the “Company”) of his decision to resign as Senior Vice President, Chief Financial Officer and Treasurer of the Company, effective December 31, 2025.

The Company is engaging in a search process for Mr. Minder’s replacement. In the interim, Rajiv K. Prasad, President and Chief Executive Officer of the Company, will serve as the Company’s principal financial officer, effective January 1, 2026. The information required by Items 401(b), (d), (e) of Regulation S-K regarding Mr. Prasad was previously reported in the Company's definitive proxy statement filed with the Securities and Exchange Commission on March 25, 2025, and such information is incorporated by reference herein.
