Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Innventure, Inc. (INV) received a Nasdaq notice that it no longer meets the $1.00 per-share minimum bid-price requirement, based on closing bid prices for the 30 consecutive business days ended October 22, 2026. The company has an initial 180-calendar-day period, through April 21, 2027, to regain compliance by meeting the requirement for at least 10 consecutive business days. If it does not, Nasdaq may provide an additional 180-calendar-day period if Innventure applies to transfer its listing from the Nasdaq Global Market to the Nasdaq Capital Market and meets the other stated eligibility conditions, including providing written notice of its intent to cure. The notice does not result in immediate delisting, and Innventure stated there can be no assurance it will regain or maintain compliance.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Bid Price Requirement regulatory
"maintain a minimum bid price of $1.00 per share"
A bid price requirement is a rule that specifies the minimum price a buyer must offer per share when making an official purchase proposal, tender offer, auction bid, or similar transaction. It matters to investors because it sets a floor for negotiations and valuation—like a reserve price in an auction—ensuring bids meet regulatory, contract or market standards and helping shareholders and markets judge whether an offer is fair or likely to succeed.
Initial Compliance Period regulatory
"until April 21, 2027 (the “Initial Compliance Period”)"
Additional Compliance Period regulatory
"may be provided an additional compliance period of 180 calendar days"
market value of publicly held shares regulatory
"continued listing requirement for the market value of publicly held shares"
The market value of publicly held shares is the total dollar worth of a company’s shares that are available to outside investors, calculated by multiplying the current market price by the number of shares held by the public (the “float”). It matters because it tells investors how much of the company is actually tradable and how the market is pricing that tradable portion—like a price tag on the items on a store shelf, it affects liquidity, volatility and how easy it is to buy or sell a meaningful stake.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

What is the Nasdaq compliance deadline for INV?

Innventure has until April 21, 2027, to regain compliance with Nasdaq’s $1.00 minimum bid price. It must meet that requirement for at least 10 consecutive business days during the initial 180-calendar-day period.

Will INV be delisted immediately?

No. The notice does not result in immediate delisting of Innventure’s common stock from the Nasdaq Global Market. If Innventure does not regain compliance during the initial period, Nasdaq may provide an additional 180-calendar-day period if the company applies to transfer to the Nasdaq Capital Market, meets the other stated listing requirements, and gives written notice of its intent to cure.

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On October 23, 2026, Innventure, Inc. (the “Company”) received a letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) informing the Company that, based upon the closing bid price of the Company’s common stock, par value $0.0001 per share (“Common Stock”), for the thirty consecutive business days ended October 22, 2026, the Company no longer satisfies the continued listing requirement to maintain a minimum bid price of $1.00 per share, as set forth in Nasdaq Listing Rule 5450(a)(1) (the “Bid Price Requirement”). In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has been provided an initial period of 180 calendar days, or until April 21, 2027 (the “Initial Compliance Period”), to regain compliance by satisfying the Bid Price Requirement for a minimum of ten consecutive business days during the Initial Compliance Period.
If the Company does not regain compliance with the Bid Price Requirement within the Initial Compliance Period, it may be provided an additional compliance period of 180 calendar days (the “Additional Compliance Period”) to regain compliance if it applies to transfer the listing of the Common Stock from the Nasdaq Global Market to the Nasdaq Capital Market. To qualify for the Additional Compliance Period, the Company must satisfy the continued listing requirement for the market value of publicly held shares and all other initial listing standards for the Nasdaq Capital Market, with the exception of the Bid Price Requirement, based on the Company’s most recent public filings and market information. The Company must also provide written notice to Nasdaq of its intent to cure the deficiency.
The letter does not result in the immediate delisting of the Company’s Common Stock from The Nasdaq Global Market. While the Company is exercising diligent efforts to maintain the listing of its securities on Nasdaq, there can be no assurance that the Company will be able to regain or maintain compliance with the Bid Price Requirement, secure the Additional Compliance Period, or maintain compliance with the other Nasdaq listing requirements.

Forward-looking statements are often identified by future or conditional words such as “plan,” “believe,” “expect,” “anticipate,” “intend,” “outlook,” “estimate,” “forecast,” “project,” “continue,” “could,” “may,” “might,” “possible,” “will,” “potential,” “predict,” “should,” “would” and other similar words and expressions (or the negative versions of such words or expressions), but the absence of these words does not mean that a statement is not forward-looking.

The forward-looking statements in this Current Report are based on the current assumptions and expectations of future events that are inherently subject to uncertainties and changes in circumstances and their potential effects and speak only as of the date hereof. These forward-looking statements involve a number of risks, uncertainties (some of which are beyond the control of the parties) or other assumptions that may cause actual results or performance to be materially different from those expressed or implied by these forward-looking statements. Important factors that could cause the Company’s actual results to differ materially from those indicated in the forward-looking statements are more fully discussed in the Company’s periodic filings with the Securities and Exchange Commission (“SEC”), including the risk factors described under the heading “Risk Factors” in the Company’s annual report on Form 10-K for the year ended December 31, 2025 filed with the SEC on March 30, 2026.
