Rhea-AI Filing Summary

Coffee Holding Co., Inc. (JVA) announced that its board approved a share repurchase program of up to $2.5 million in value of its outstanding common stock. The company may repurchase shares from time to time on the open market or in privately negotiated transactions, subject to market conditions, share price and other factors. It intends to fund repurchases with available cash and future cash flow from operations. Repurchases may be made in part under a Rule 10b5-1 plan, and the company may discontinue or suspend the program at any time. The timing and amount of purchases will depend on the company’s evaluation of market conditions and other factors.

Filing Explained

The program authorizes up to $2.5 million in possible repurchases, not a committed outlay; Coffee Holding reported $2,915,888 in cash and equivalents at July 31, 2026, providing a dated cash reference for that ceiling.

share repurchase program financial
"approved a share repurchase program"
A share repurchase program is when a company buys back its own shares from the marketplace. This reduces the total number of shares available, which can increase the value of each remaining share and signal confidence in the company's prospects. For investors, it often suggests that the company believes its stock is undervalued or that it has extra cash to return to shareholders.
Rule 10b5-1 plan regulatory
"under a Rule 10b5-1 plan"
A Rule 10b5-1 plan is a prearranged, written schedule that lets corporate insiders buy or sell company stock at set times or amounts, even if they later learn material nonpublic information. Think of it like setting an automatic thermostat for trades: it creates a clear record that trades were planned in advance, reducing the risk of insider-trading accusations and helping investors trust that insider transactions are routine rather than based on secret information.
privately negotiated transactions financial
"in privately negotiated transactions"
Privately negotiated transactions are deals made directly between parties without involving a public marketplace or open auction. They are like private sales between two individuals rather than items sold at a busy marketplace open to everyone. For investors, these transactions can offer more tailored terms and privacy, but they may also carry different risks and less transparency compared to public exchanges.
cash flow from operations financial
"future cash flow from operations"
Cash flow from operations is the money a company actually generates from its core business activities—sales, services and day-to-day operations—after paying routine costs like wages and suppliers. Investors watch it like a company’s operating “paycheck” because it shows whether the business can fund growth, pay debts and return cash to shareholders without relying on loans or one-time asset sales; steady positive cash flow is a sign of financial health.
