Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Knightscope, Inc. (KSCP) received a Nasdaq deficiency notice after its Class A common stock closed below the $1.00-per-share minimum bid price for 30 consecutive business days. It has until May 3, 2027 to regain compliance by closing at $1.00 or more for at least 10 consecutive business days. The notice has no immediate effect on its Nasdaq Capital Market listing.

Knightscope may be eligible for an additional 180 calendar days if it meets the other applicable listing standards and gives written notice of its intent to cure, including by reverse stock split if necessary. If it does not regain compliance and is ineligible for an extension, or Nasdaq staff concludes it cannot cure the deficiency during an extension, the stock may be subject to delisting; the company may appeal that determination.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

"the $1.00 per share minimum bid price requirement for continued inclusion"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
Compliance Period Rule regulatory
"In accordance with Nasdaq Listing Rule 5810(c)(3)(A) (the “Compliance Period Rule”)"
initial listing standards regulatory

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

What does KSCP need to do to regain Nasdaq's minimum bid-price compliance?

Knightscope must have its Class A common stock close at $1.00 or more per share for at least 10 consecutive business days before May 3, 2027. Nasdaq staff will then provide written notice that the company has regained compliance.

Can KSCP get more time to meet Nasdaq's $1 bid-price rule?

Knightscope may be eligible for an additional 180 calendar days if it meets the continued-listing market-value requirement for publicly held shares and all other initial listing standards for Nasdaq Capital Market, except the bid-price requirement, and gives written notice of its intent to cure during that period, including by reverse stock split if necessary.

Will KSCP be delisted immediately?

No. The notice has no immediate effect on the Nasdaq listing, and Knightscope's Class A common stock continues to trade on Nasdaq Capital Market under KSCP. If the company does not regain compliance and is ineligible for an additional period, or staff concludes it cannot cure the deficiency during that period, staff will notify the company that the stock is subject to delisting; the company may appeal to a Nasdaq Hearings Panel.

Item 3.01

Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On November 4, 2026, Knightscope, Inc. (the “Company”) received a deficiency letter from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC ("Nasdaq") notifying the Company that for the last 30 consecutive business days, the bid price for the Company’s Class A Common Stock closed below the $1.00 per share minimum bid price requirement for continued inclusion on The Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”).

In accordance with Nasdaq Listing Rule 5810(c)(3)(A) (the “Compliance Period Rule”), the Company has been provided a period of 180 calendar days, or until May 3, 2027 (the “Compliance Date”), to regain compliance with the Minimum Bid Price Requirement. If, at any time before the Compliance Date, the bid price of the Company’s Class A Common Stock closes at $1.00 or more per share for a minimum of ten consecutive business days as required under the Compliance Period Rule, the Staff will provide written notification to the Company that it has regained compliance with the Minimum Bid Price Requirement.

If the Company does not regain compliance with the Minimum Bid Price Requirement by the Compliance Date, the Company may be eligible for an additional 180 calendar day compliance period. To qualify, the Company would be required to meet the continued listing requirements for market value of its publicly held shares and all other initial listing standards for The Nasdaq Capital Market, with the exception of the Minimum Bid Price Requirement, and would need to provide written notice of its intention to cure the bid price deficiency during the second 180 calendar day compliance period, by effecting a reverse stock split, if necessary.

If the Company does not regain compliance with the Minimum Bid Price Requirement by the Compliance Date and is not eligible for an additional compliance period at that time, or the Staff concludes that the Company will not be able to cure the deficiency during the additional compliance period, the Staff will provide written notification to the Company that its Class A Common Stock will be subject to delisting. At that time, the Company may appeal the Staff’s delisting determination to a Nasdaq Hearings Panel. However, there can be no assurance that such appeal would be successful.

The notification has no immediate effect on the Company’s Nasdaq listing. The Company’s Class A Common Stock will continue to trade on The Nasdaq Capital Market under the symbol "KSCP" at this time.

The Company intends to actively monitor the closing bid price of its Class A Common Stock and may, if appropriate, consider implementing available options to regain compliance with the Minimum Bid Price Requirement. There can be no assurance that the Company will be able to regain compliance with the Minimum Bid Price Requirement.
