- The Reporting Person was granted Restricted Stock Units ("RSUs") which represent a contingent right to receive one share of Common Stock, $0.0001 par value, for each RSU. This reported transaction represents the settlement of RSUs vested as of March 31, 2026. The RSUs were granted in connection with the Reporting Person's service as a member of the Board of Directors for the Issuer. Subject to the Reporting Person's continued service, the RSUs will vest in full on the one-year anniversary of the date of grant based upon continued service, or on a pro-rata basis upon termination of service, including resignation before vesting.
