Rhea-AI Filing Summary

LivePerson is asking stockholders to vote "FOR" its acquisition by SoundHound AI at a Special Meeting on August 20, 2026. Most LivePerson stockholders would receive SoundHound stock valued at approximately $3.33 per share as of the April 21, 2026 announcement, a 22% premium to LivePerson’s 30-day volume-weighted average price. SoundHound projects the combined company could generate $350–$400 million of revenue in 2027, scaling to $500 million based on the existing customer base. The Board contrasts this with LivePerson’s standalone risks, including a 22% revenue decline in 2023, significant debt and limited capital markets access, potential Nasdaq delisting and possible reorganization in which stockholders could receive no value. Approval requires a majority of all outstanding shares, so shares not voted effectively count as votes against the merger.

Positive

  • 22% premium and access to stronger balance sheet: Most stockholders would receive SoundHound stock valued at about $3.33 per share, a 22% premium to LivePerson’s 30-day VWAP, with exposure to a combined company SoundHound describes as debt-free and targeting $350–$400 million in 2027 revenue.

Negative

  • Material standalone financial risk highlighted: LivePerson reports a 22% revenue drop in 2023, significant debt and limited capital markets access, plus risks of Nasdaq delisting and potential reorganization in which stockholders "would in all likelihood receive no value" if it remains standalone.

Filing Explained

Although the letter describes immediate, certain premium value, the proposed SoundHound AI acquisition remains pending: stockholder approval is scheduled for August 20, 2026, and closing also depends on required conditions, including the notes restructuring transactions; no completed exchange is disclosed.

Fortune 100 customers served 25 Number of Fortune 100 companies the combined entity would serve
volume-weighted average price financial
"a 22% premium over LivePerson’s 30-day volume-weighted average price"
Volume-weighted average price (VWAP) is the average price of a stock over a specific time period where each trade is weighted by the number of shares traded, so larger trades influence the average more than small ones. Investors and traders use VWAP as a reference point to judge whether trades are happening at relatively good or poor prices—like checking the average price paid for an item at a market where bulk purchases count more than single-item buys.
Special Meeting of Stockholders regulatory
"A Special Meeting of Stockholders to vote on the merger is scheduled"
A special meeting of stockholders is an unscheduled gathering called to let shareholders vote on specific, often urgent company decisions—like mergers, major asset sales, changes to the board, or amendments to governing rules. Think of it as an emergency town hall where owners cast ballots in person or by mail/online; outcomes can materially change a company’s strategy, control or value, so investors pay close attention and may need to vote or adjust holdings accordingly.
forward-looking statements regulatory
"This document contains "forward-looking statements" within the meaning"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
proxy statement/prospectus regulatory
"included in the Form S-4 and the proxy statement/prospectus contained therein"
A proxy statement or prospectus is a document that companies send to shareholders to provide important information about upcoming decisions or investments, such as voting on company issues or offering new shares to the public. It helps investors understand the details and risks involved, enabling them to make informed choices about their ownership or involvement with the company.
Notes Restructuring Agreement financial
"to consummate the notes restructuring transactions contemplated by the Notes Restructuring Agreement"
registration statement on Form S-4 regulatory
"SoundHound AI has filed with the U.S. Securities and Exchange Commission a registration statement on Form S-4"
A registration statement on Form S-4 is a formal filing with the U.S. Securities and Exchange Commission used when a company issues shares or other securities as part of a merger, acquisition, exchange offer or similar corporate deal. It bundles the transaction terms, financial statements, risk factors and shareholder vote materials so investors can assess the deal; think of it as a detailed prospectus or buyer’s packet that explains what you would own and how the deal could change your stake.

LivePerson Urges Stockholders to Vote “FOR” Acquisition
by SoundHound AI Ahead of August 20 Special Meeting

Board of Directors and Independent Proxy Advisory Firm Glass Lewis
Recommend a "FOR" Vote to Protect the Value of Your Investment

Every Vote Matters – Failing to Vote Has the Exact Same Effect as Voting Against
the Transaction

NEW YORK, August 11, 2026 – LivePerson (NASDAQ: LPSN) (“LivePerson” or “the Company”), a leading provider of predictable conversational AI, today announced that the LivePerson Board of Directors has issued a formal letter urging stockholders to vote "FOR" the Company's pending acquisition by SoundHound AI, Inc. (NASDAQ: SOUN).

A Special Meeting of Stockholders to vote on the merger is scheduled for August 20, 2026, at 10:00 a.m. Eastern Time. The LivePerson Board of Directors unanimously recommends that stockholders vote "FOR" the transaction, and leading independent proxy advisory firm and Glass Lewis support the Board’s recommendation.

LivePerson encourages stockholders to predicate their vote on the following facts:

A vote “FOR” the transaction is a vote in favor of exchanging shares at an attractive premium for shares in a company with a strong balance sheet and future potential upside.

A vote “AGAINST” the transaction, or no vote at all, potentially exposes stockholders to the significant risks associated with continuing as a standalone company as disclosed in LivePerson’s proxy filing, including the risks of continued slowing or degradation of LivePerson’s business given commercial headwinds from the Company’s standalone financial profile, potential delisting from the Nasdaq, and potential inability to service or repay LivePerson’s substantial debt and/or comply with debt-related financial covenants, which could eventually lead to reorganization, in which stockholders would in all likelihood receive no value for their shares.

Because the transaction requires approval by the holders of a majority of all outstanding shares, any share that is not voted will effectively count as a vote "AGAINST" the transaction. Stockholders are urged to submit their votes as promptly as possible.

The letter, the full text of which is below, has been filed with the U.S. Securities and Exchange Commission and is available at www.VoteLivePerson.com with voting instructions and other information about the transaction.

IMPORTANT VOTING REMINDER: VOTE "FOR" THE SOUNDHOUND AI MERGER TO SECURE AND PROTECT YOUR INVESTMENT

Dear Fellow Stockholder,

With our Special Meeting of Stockholders rapidly approaching on August 20, 2026, we are writing to you at a critical moment for LivePerson, Inc. The Board of Directors unanimously urges you to vote "FOR" the proposed acquisition of LivePerson by SoundHound AI, Inc.

This transaction provides a negotiated path to deliver immediate, certain premium value to our stockholders and protect your investment.

The Choice is Clear: Premium Value vs. Severe Standalone Risk

Option 1: Premium Value and Potential Future Upside for Stockholders

Most stockholders will receive SoundHound common stock representing a value of approximately $3.33 per share as of the April 21, 2026 announcement – a 22% premium over LivePerson’s 30-day volume-weighted average price prior to such announcement. Stockholders on the Tel Aviv Stock Exchange (TASE) will receive a substantially equivalent value per share in cash. We encourage all stockholders to use the illustrative calculator tool at www.VoteLivePerson.com to better understand the estimated value you will be receiving if this transaction is approved.
By voting your shares “FOR” the transaction, most stockholders have the opportunity to participate in a combined company with a strong, debt-free balance sheet and an accelerated path to profitability. SoundHound has stated that, assuming the transaction closes in the second half of 2026, it expects an achievable combined revenue range of at minimum $350 million to $400 million in 2027, scaling to $500 million based on the existing customer base alone.

The combined entity unifies leading voice and digital conversational AI to serve 25 of the Fortune 100 companies.

Option 2: Severe Risks as a Standalone Company

Given its significant debt burden and lack of access to capital markets, LivePerson faces a substantial risk of an inability to repay or refinance its existing debt when due.

LivePerson's revenue dropped 22% in 2023 due to customer attrition, and commercial headwinds have persisted through 2024 and 2025, with turnaround progress slower than expected.

The risks of continued slowing or degradation of LivePerson’s business given commercial headwinds from the Company’s standalone financial profile, potential delisting from the Nasdaq, and potential inability to service or repay LivePerson’s substantial debt and/or comply with debt-related financial covenants, which could eventually lead to reorganization, in which stockholders would in all likelihood receive no value for their shares.

A Share Not Voted is a Vote "AGAINST"

Because this transaction requires approval from a majority of all outstanding shares (not just those voted), failing to vote has the exact same effect as voting "AGAINST" the merger.
