LivePerson Issues Letter to Shareholders Ahead of Shareholder Meeting to Approve Acquisition by SoundHound AI

LivePerson has published a letter to its stockholders ahead of the special meeting to approve its proposed acquisition by SoundHound AI, which will be held on August 20, 2026.
Stockholders who owned LivePerson shares as of July 6, 2026 and wish to vote may do so by submitting the attached proxy voting form together with proof of share ownership as of July 6.

Dear Stockholder
We are writing to remind you about the proposed acquisition of LivePerson by SoundHound AI and the upcoming special meeting to be held on August 20, 2026.
By voting FOR the transaction, LivePerson stockholders have the opportunity to participate in the future upside of the combined company, which will benefit from a strong debt-free balance sheet, greater scale, and broader strategic capabilities.
Your vote and participation—regardless of how many shares you own—are extremely important. Any share that is not voted will effectively count as a vote against the transaction. Your prompt response will help secure stockholder approval before the meeting and reduce the risk of a postponement.
The Proposed Transaction Represents the Best Strategic Alternative for LivePerson Stockholders
The LivePerson Board of Directors conducted a comprehensive review of strategic alternatives, contacting 66 potential counterparties. Following this extensive process, the Board concluded that the transaction with SoundHound represents the best opportunity to maximize stockholder value, particularly when compared with continuing to operate as a standalone company given the business, financial, competitive, industry, and market risks facing LivePerson.
A Vote FOR the Transaction Is a Vote in Favor of the Following Benefits:
● Premium Value for LivePerson Stockholders: Based on the assumptions described in the proxy statement/prospectus, most LivePerson stockholders are expected to receive SoundHound AI shares. As of the transaction announcement on April 21, 2026, the consideration represented approximately $3.33 per LivePerson share, a premium of approximately 22% over LivePerson's 30-day volume-weighted average trading price prior to the announcement. Stockholders whose shares are listed on the Tel Aviv Stock Exchange are expected to receive the equivalent value in cash instead of SoundHound shares.
● Creation of a More Comprehensive Platform with Greater Scale: The transaction will combine complementary capabilities across Voice AI, Digital Engagement, Agentic AI, and AI Assurance. The combined customer base will include 25 of the Fortune 100 companies, creating one of the most
comprehensive enterprise customer footprints in the conversational AI industry while providing significant cross-selling opportunities across both companies' existing customers.
● A Negotiated Resolution of LivePerson's Debt: LivePerson's outstanding debt currently exceeds the total value of the transaction. As part of the agreement, the company's secured noteholders have agreed to exchange their debt at a substantial discount to the notes' approximately $350 million face value. Given LivePerson's valuation and significant debt burden, it is unlikely that any strategic transaction providing value to stockholders would have been possible without these material concessions from the noteholders.
