Rhea-AI Filing Summary

On October 28, 2026, 3 E Network Technology Group Limited approved a further 2-for-1 consolidation of its issued and unissued Class A and Class B ordinary shares. Together with the earlier 2-for-1 consolidation, this produces a cumulative 4-for-1 consolidation. Class A ordinary shares are expected to begin trading on a post-consolidation basis when the market opens October 30, 2026, on the Nasdaq Capital Market under MASK.

Before both consolidations, Class A issued and outstanding shares were 5,230,209 and are expected to become approximately 1,307,553; Class B shares were 23,200 and are expected to become approximately 5,800. The par value for both classes changes from US$0.0025 per share before the consolidations to US$0.01 per share afterward.

Filing Explained

The consolidations reset authorized share counts to 25 million Class A and 12.5 million Class B shares, while stated authorized share capital remains US$375,000.

Under the board-approved further consolidation, any fractional shares that would result will be rounded up to the next whole share rather than issued as fractions.

Both consolidations reset authorized share counts from 100 million Class A and 50 million Class B shares to 25 million and 12.5 million, respectively, while stated authorized share capital remains US$375,000.

share consolidation financial
"a cumulative 4 for 1 share consolidation"
Share consolidation is a process where a company reduces the total number of its shares by combining multiple existing shares into a smaller number of higher-value shares. This can make each share more expensive and potentially improve the company’s image. For investors, it often means their ownership remains the same, but the value of each share increases, which can influence how the stock is perceived and traded.
par value financial
"par value of US$0.01 each"
Par value is the fixed amount printed on a bond or stock that represents its original value when issued. It’s like the face value of a coin or bill—what the issuer promises to pay back or the starting price of a stock—though it often doesn’t change with market prices. It matters because it helps determine certain financial details, like how much the company will pay back at maturity.
authorized share capital financial
"the Company’s authorized share capital will be changed"
The maximum number of shares a company is legally allowed to issue according to its governing documents. Think of it as the size of the blank checkbook a company keeps for selling ownership stakes: it sets an upper limit but does not mean all shares are in circulation. Investors care because a larger authorized amount makes it easier for the company to raise money or grant stock-based pay, which can dilute existing holdings and affect control and value per share.
Split Ratio 1-for-4 reverse split
Effective Date October 30, 2026
Shares Before Split 5,230,209
Shares After Split 1,307,553
Other Share Class After Split 5,800
