Connolly notified the board of directors (the “Board”) of Malibu Boats, Inc., a Delaware corporation (the “Company”), that he does not intend to stand for re-election at the Company’s 2026 annual meeting of stockholders (the “2026 Annual Meeting”). Mr. Connolly will continue to serve on the Board until the 2026 Annual Meeting, when his current term expires. Mr. Connolly’s decision to not stand for re-election was not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

On August 20, 2026, pursuant to Section 3.02 of the Company’s Bylaws, the Board decreased the number of directors that constitute the entire Board from nine to eight directors, effective upon the expiration of Mr. Connolly’s term at the 2026 Annual Meeting.
