Mercer International Inc. is in advanced discussions with an ad hoc group of holders of its 12.875% Senior Notes due 2028 and 5.125% Senior Notes due 2029 about a comprehensive recapitalization and significant capital infusion. Members of the group hold greater than 75% of the aggregate outstanding principal amount of the notes. The proposed transaction is intended to address upcoming debt maturities, enhance liquidity, and reduce funded debt and related interest expense. Mercer is optimistic it can announce a transaction in the near term, but gives no assurance of a definitive agreement or its timing or terms.
Mercer did not make the approximately $25.8 million interest payment due October 1, 2026 on the 2028 Notes and elected to use the indenture’s 30-day grace period; use of that period does not constitute an event of default under the indenture. Pulp, lumber and mass timber operations continue in the ordinary course, as do customer service and payments to suppliers, contractors and employees. Mercer does not expect a transaction to affect those relationships or obligations.
Mercer International Inc. (MERC) reported that the Government of Canada, through Prairies Economic Development Canada, has committed C$20 million (approximately US$14 million) in financial support to its subsidiary Mercer Peace River Pulp Ltd. under the Regional Tariff Response Initiative. The package consists of a C$1 million non-repayable contribution and a C$19 million repayable contribution, with repayment scheduled to commence in 2031, subject to the terms of a contribution agreement.
Mercer states that this funding will provide capital to support Mercer Peace River’s broader transformation plan to improve productivity, modernize the mill, and prepare the facility for expanded bio-energy production and carbon capture and storage, building on a carbon dioxide capture demonstration unit already in place. Mercer also reiterates its broader operations, including consolidated annual production capacity of 2.1 million tonnes of pulp and significant lumber, engineered wood, pallet and biofuel capacity.
Mercer International Inc. reported second quarter 2026 revenues of $460.3 million, roughly flat with a year earlier, but continued to post losses as high fiber costs and weak pulp pricing weighed on results. Operating loss was $58.974 million and Operating EBITDA was negative $21.0 million, including a $29.0 million non-cash inventory impairment. Net loss was $76.0 million, or $1.13 per share, an improvement from a $86.1 million loss in the prior-year quarter.

Liquidity as of June 30, 2026 totaled about $191.7 million, including $78.8 million of cash, while shareholders’ equity had shifted to a $97.974 million deficit. Management has engaged advisors and begun discussions with holders of 2028 and 2029 senior notes and other stakeholders regarding strategic alternatives to address debt maturities and strengthen the capital structure, while restructuring the Torgau solid wood facility and reducing its workforce by about 350 positions through the second quarter of 2027. The mass timber business reported a robust order book of approximately $151 million.
Mercer International Inc. reported that its indirectly wholly owned subsidiary Mercer Torgau GmbH & Co. KG is undertaking strategic actions to align its capacity and operations with current market conditions and elevated raw material and energy costs.
The plan includes streamlining the organization, adjusting the product portfolio and realigning production capacity and workforce. Mercer Torgau expects an initial reduction of about 100 contractor positions in July 2026 and an overall workforce reduction of about 350 positions, implemented in stages and targeted for completion around the second quarter of 2027. Management is coordinating the process with employee representatives and aims to implement the reductions in a socially responsible manner.

The notice is a non-compliance notification and has no current effect on the listing or trading of the company’s securities. Under Nasdaq Listing Rule 5810(c)(3)(A), Mercer has an initial 180-day period to regain compliance, which will occur if the closing bid price is at least $1.00 for a minimum of ten consecutive business days during that period. The company states it is monitoring its share price and working to regain compliance but notes there is no assurance it will do so within the prescribed timeframe.

The waiver relates to the Company’s €370.1 million German revolving credit facility with a bank group led by UniCredit Bank GmbH as agent.
The waiver sets out additional conditions and clarifies what will count as an Event of Default under the credit agreement. These include failing to meet the waiver’s covenants and reporting duties, terminating a managing director of a loan party without prior written notice to the agent (other than for cause), and the occurrence of an event of default under the Company’s 12.875% senior notes due 2028, 5.125% senior notes due 2029, or certain other credit facilities such as its Canadian revolving credit facility.
