Rhea-AI Filing Summary

Mitesco, Inc. received funding from ZSP Capital, LLC on October 5, 2026, through a 2026 Bridge Note with a $25,000 face amount. The note bears 10% interest, matures 12 months from its date, and requires repayment of $27,500, reflecting its 10% original issue discount. It may convert into Mitesco common stock at $0.15 per share, subject to certain adjustments.

Mitesco issued 500,000 restricted common shares to each of two individuals as compensation for assistance with its TCDC edge computing network data center project. It also issued 500,000 shares to each of two individuals for assistance with its Robo Agent application software project. The shares were valued at $0.0375 per share, and Mitesco will record a charge of $18,750 for each issuance. The company stated that approximately 51 million common shares were issued and outstanding following these issuances. Dr. Jordan Ballencic resigned from the Board of Directors on October 8, 2026, citing a lack of available time to meet the responsibilities of the role; the board does not intend to fill the vacancy. Mitesco continues discussions with acquisition candidates and on restructuring its Bridge notes and Series A Preferred shares.

Filing Explained

Issued compensation shares reduce existing holders’ percentage ownership; conversion of the separate note into common stock remains conditional.

Original Issue Discount financial
"10% Original Issue Discount Convertible Promissory Note"
Original issue discount (OID) is the difference between a debt security’s face value and the lower price at which it is first sold, treated as additional interest that accrues over the life of the instrument. For investors it matters because OID raises the effective yield and changes taxable income and the holding’s cost basis over time — think of buying a $100 voucher for $90 and recognizing the $10 gain as earned interest as the voucher approaches maturity.
Convertible Promissory Note financial
"10% Original Issue Discount Convertible Promissory Note"
A convertible promissory note is a loan a company takes now that can later be turned into shares instead of being repaid in cash. Think of it as lending money with the option to accept ownership in the business down the road; that matters to investors because it affects who gets paid first, how much ownership existing shareholders keep, and the company’s future valuation and cash needs. Terms such as conversion price, interest and maturity determine the financial impact.
restricted common stock financial
"500,000 shares of restricted common stock"
Restricted common stock is company shares that carry limits on selling or transferring for a set period or until certain conditions are met, like time-based vesting or regulatory clearance. Think of them as shares in a locked box that gradually open; they can become freely tradable later but initially reduce the number of shares available on the market. Investors watch restricted stock because its eventual release can change a company’s share supply, affect stock price, and influence control and dilution.
Section 4(a)(2) regulatory
"exemption from registration under Section 4(a)(2)"
Section 4(a)(2) is a part of U.S. securities laws that allows companies to sell their stock directly to certain investors without registering the sale with regulators. This process is often used for private placements, making it easier and faster for companies to raise money from knowledgeable or institutional investors. It matters to investors because it provides an alternative way to buy shares, often with fewer disclosures and lower costs.
