Rhea-AI Filing Summary

Mitesco, Inc. (MITI) reported that Series X Preferred holders representing over 54% of available votes approved increasing authorized common shares from 500,000,000 to 1,000,000,000 on November 5, 2026. The board approved the change and is taking steps to implement it; Mitesco said it will send shareholders an information statement as soon as practical. The company said the authorization change was not tied to a particular transaction or event. Common shares outstanding were approximately 60 million, with around 20 million in the float.

On November 5, 2026, the board issued 4,800 Series X Preferred shares each to directors Mack Leath (Chairman and CEO), Brian Valania and Frank Panunto, and 4,800 to Anglo Irish Management, LLC, as consideration for work on acquisition matters. Each director then held 12,000 preferred shares; Anglo Irish Management held 43,103, and total Series X Preferred shares outstanding were 91,103. The stock has no stated maturity, accrues dividends at 10% per annum on $25.00 per share, and has a $25.00 per-share liquidation preference. It has no mandatory redemption or sinking fund and remains outstanding indefinitely unless Mitesco elects to redeem or repurchase it.

Certificate of Designation regulatory
"amendment of its Certificate of Designation"
A certificate of designation is a formal document that spells out the specific rights and rules attached to a particular class or series of stock, usually preferred shares. Think of it as a rulebook or menu that lists dividend terms, liquidation priority, conversion or redemption rights and any special voting protections; investors use it to judge how much income, control or downside protection those shares will provide compared with other securities.
liquidation preference financial
"a liquidation preference of $25.00 per share"
A liquidation preference is a rule that determines who gets paid first and how much they receive when a company is sold, goes bankrupt, or distributes its assets. It gives certain investors a priority claim—often returning their original investment plus any agreed multiple—before other owners receive money, which shapes how much common shareholders and founders ultimately get; think of it as a front-of-the-line pass that affects payout order and investor returns.
sinking fund financial
"not be subject to any sinking fund or mandatory redemption"
A sinking fund is a dedicated pool of cash a company sets aside over time to repay a specific debt, replace an expensive asset, or meet a known future obligation. It matters to investors because it reduces the chance of a surprise default or emergency sale—think of it as a labeled savings jar that keeps a company prepared for a big bill—so it can improve creditworthiness and influence bond prices and payout flexibility.
Cumulative Redeemable Perpetual Preferred Stock financial
"10% Series X Cumulative Redeemable Perpetual Preferred Stock"
A cumulative redeemable perpetual preferred stock is a type of ownership share that pays fixed dividends forever unless the company stops them, and any missed dividends accumulate and must be paid later. It can be redeemed (bought back) by the issuer at specified times or prices, so it behaves partly like a long-term loan; investors care because it sits ahead of common shares for payments and can affect a company’s cash needs and perceived credit risk.
