(the “Company”) held a Special Meeting of Stockholders (the “Meeting”) to vote on four proposals, as described in the definitive proxy statement filed by the Company with the SEC on September 14, 2026 (the “Proxy Statement”). Present at the Meeting were holders of 9,416,734 shares of Class A Common Stock of the Company (the “Class A Common Stock”) represented in person or by proxy, representing approximately 52.45% of the voting power of the Class A Common Stock as of September 8, 2026, the record date for the Meeting (the “Record Date”), and constituting a quorum for the transaction of business.
