Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

NeoVolta, Inc. adopted its Third Amended and Restated Bylaws, effective October 30, 2026. The bylaws set stockholder-meeting quorum at one-third of the voting power of shares issued and outstanding and entitled to vote; the prior bylaws required a majority. Directors are elected by plurality, while other questions are decided by a majority of votes cast, with votes in favor exceeding votes against. Abstentions and broker non-votes count toward quorum but not as votes for or against a question or nominee. The Board may amend the bylaws by majority vote of its directors, and stockholders may amend them by majority vote of the voting power of outstanding voting securities. The prior bylaws required a 66 2/3% Board vote to amend.

quorum regulatory
"set the quorum for stockholder meetings at one-third"
A quorum is the minimum number of members needed to officially hold a meeting or make decisions. It ensures that decisions are made with enough participation to represent the group’s interests, much like a majority must be present for a vote to be valid. For investors, understanding quorum is important because it affects when and how important company or organization decisions can be legally made.
plurality regulatory
"directors are elected by a plurality of the votes cast"
broker non-votes regulatory
"abstentions and broker non-votes are not counted as votes cast"
Broker non-votes occur when a brokerage firm is unable to vote on a shareholder’s behalf during a company election or decision because the shareholder has not given specific voting instructions, and the broker is not allowed or chooses not to vote on certain matters. They are important because they can affect the outcome of votes, especially when the results are close, by effectively reducing the total number of votes cast.
voting power regulatory
"a majority of the voting power of the issued and outstanding voting securities"
Voting power is the ability shareholders have to influence a company's major decisions—like electing the board, approving mergers, or changing corporate rules—based on the voting rights attached to the shares they hold. For investors it matters because greater voting power is like holding more keys to a building: it gives you a stronger say over management choices and the company’s strategy, which can affect future value and risk.

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

What quorum does NEOV require for stockholder meetings?

NEOV’s amended bylaws set quorum at one-third of the voting power of shares issued and outstanding and entitled to vote, present in person or represented by proxy. The prior bylaws required a majority. Abstentions and broker non-votes count as present for quorum purposes.

Can NEOV stockholders amend the bylaws themselves?

Yes. Stockholders may amend the bylaws by an affirmative vote of a majority of the voting power of the issued and outstanding voting securities, voting together as a single class, at a meeting called for that purpose.

On October 30, 2026, the Board of Directors (the “Board”) of NeoVolta, Inc. (the “Company”) approved and adopted the Company’s Third Amended and Restated Bylaws (the “Amended Bylaws”), effective on such date. The Amended Bylaws amend and restate the Company’s Second Amended and Restated Bylaws (the “Prior Bylaws”). The Amended Bylaws, among other things: (i) set the quorum for stockholder meetings at one-third of the voting power of the shares issued and outstanding and entitled to vote, present in person or represented by proxy, whereas the Prior Bylaws required a majority; (ii) provide that directors are elected by a plurality of the votes cast, and every other question is decided by a majority of the votes cast, meaning the votes cast in favor exceed the votes cast against, whereas the Prior Bylaws provided that questions were decided by holders of a majority of the voting power present in person or represented by proxy; (iii) provide that abstentions and broker non-votes are not counted as votes cast for or against any question or nominee, but are counted as present for purposes of determining a quorum; and (iv) provide that the Board may amend the bylaws by the affirmative vote of a majority of the directors comprising the Board and that the Company’s stockholders may also amend the bylaws by the affirmative vote of a majority of the voting power of the issued and outstanding voting securities, voting together as a single class, in each case, at a meeting called for that purpose, whereas the Prior Bylaws required a 66 2/3% Board vote.

The Amended Bylaws also include certain conforming changes. The description above is a summary and is qualified in its entirety by the full text of the Amended Bylaws. The Amended Bylaws are filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by reference.
