Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Net Power Inc. reported that its indirect subsidiary, Net Power, LLC, and Saulsbury Industries extended the EPC Agreement deadline for the full notice to proceed and Mobilization Payment from October 15, 2026, to March 31, 2027. The parties continue negotiating a Fourth Amendment and a limited notice to proceed.

The $3.5 million Termination Payment is deferred if the Fourth Amendment and limited notice to proceed are both executed and their required payments are made by November 15, 2026. Otherwise, it is due within ten days after Saulsbury’s written demand and invoice. If those conditions are met, payment is further deferred until March 31, 2027, but becomes due on the same terms if the full notice to proceed and Mobilization Payment are not delivered by then.

Net Power cited the absence of a final investment decision and of committed equipment or project-level financing, customer funding, or partner capital, apart from a prospective-customer cost-reimbursement arrangement subject to approval procedures, exclusions, and an aggregate cap. If the March 31, 2027 deadline is missed, the EPC Agreement may be terminated; consideration paid to EMPower would not be refundable, and some or all amounts paid toward Wärtsilä equipment may not be recovered.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

A limited notice to proceed is a short, partial green light from a client that lets a contractor begin specific early work—such as site preparation, ordering long‑lead materials, or hiring crews—before the full contract is signed. For investors it signals that a project is moving from planning toward execution, which can accelerate revenue timing but also exposes the company to early costs and schedule risk if the full contract terms change; think of it as starting the foundation before the final building permit paperwork is complete.

Item 1.01 Entry into a Material Definitive Agreement.

As previously reported in the Current Report on Form 8-K filed by NET Power Inc. (the “Company”) on September 3, 2026 (the “Prior Report”), on August 31, 2026, Net Power, LLC, an indirect subsidiary of the Company (the “Purchaser”), acquired the position of EMPower USA, LLC (“EMPower”) as “Owner” under the Engineering, Procurement and Construction Agreement dated December 15, 2025 with Saulsbury Industries, Inc. (“Saulsbury”) (as amended, the “EPC Agreement”), and Saulsbury consented to the assignment in a Consent to Assignment and Acknowledgment dated as of August 27, 2026 (the “Consent”).

Under the Consent, the deadline for the Purchaser to deliver the full notice to proceed under the EPC Agreement (the “FNTP”) and to make the Mobilization Payment described in the Prior Report was October 15, 2026. If the FNTP is not delivered and the Mobilization Payment is not made by the deadline, either party may terminate the EPC Agreement, and the Purchaser must then pay Saulsbury $3.5 million (the “Termination Payment”) in full satisfaction of Saulsbury’s claims arising from the termination.

On October 16, 2026, the Purchaser and Saulsbury entered into an Agreement to Extend FNTP Date, effective as of October 15, 2026 (the “Extension Agreement”). The parties continue to negotiate the post-closing change order to the EPC Agreement described in the Prior Report (the “Fourth Amendment”) and a limited notice to proceed under the EPC Agreement (the “LNTP”). The Extension Agreement extends the deadline for delivery of the FNTP and the Mobilization Payment (as the Fourth Amendment and the LNTP may revise that payment) from October 15, 2026 to March 31, 2027. It also defers the Termination Payment, on the condition that, on or before November 15, 2026, the Purchaser and Saulsbury execute the Fourth Amendment and the LNTP and the Purchaser makes the payments required under the LNTP.

If the Fourth Amendment and the LNTP are not both executed, or the payments required under the LNTP are not made, on or before November 15, 2026, for any reason, including a decision by either party to discontinue negotiations, the Purchaser must pay the Termination Payment within ten days after receiving Saulsbury’s written demand and invoice. If both are executed and those payments are made by that date, the Termination Payment is further deferred until March 31, 2027, and becomes payable on the same terms if the Purchaser does not deliver the FNTP and make the Mobilization Payment by that date. Except as described above, the Consent remains unmodified.

Other than under the EPC Agreement, the Consent, the Extension Agreement and the other agreements described in the Prior Report and the transactions contemplated by them, there is no material relationship between Saulsbury, on the one hand, and the Company or any of its affiliates, on the other hand.

The foregoing description of the Extension Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Extension Agreement, a copy of which the Company intends to file as an exhibit to its Quarterly Report on Form 10-Q for the quarter ended September 30, 2026.
