Rhea-AI Filing Summary

News Corp (NWS) reports ongoing activity under its stock repurchase program authorizing purchases of up to US$1 billion of its Nasdaq-listed Class A and Class B common stock, authorized as of July 15, 2025. The company is providing the Australian Securities Exchange with daily Appendix 3C notifications on these buy-backs, which are also filed in the U.S. as exhibits.

The repurchases are categorized as an “Other buy-back” and are executed for cash through Goldman Sachs & Co. LLC, with no shareholder approval or foreign participation restrictions stated. No ASX-listed CDIs are being repurchased in these programs. Management characterizes future repurchases as subject to market conditions, stock price, applicable laws and alternative investment opportunities, and notes related statements are forward‑looking and may change.

Positive

  • Up to US$1 billion share repurchase program for Class A and Class B stock, providing a structured capital return framework.
  • Buy-backs are being actively executed for cash through Goldman Sachs & Co. LLC, indicating the program is operational rather than only authorized.

Negative

  • None.

Filing Explained

The filing reports 54,641 and 23,784 shares bought on September 17 for US$1,654,491.23 and US$795,144.31, within a US$1 billion authorization.

News Corp reports that its repurchase program bought 54,641 shares for US$1,654,491.23 on September 17, 2026, in one notification, and 23,784 shares for US$795,144.31 in the other. The company has therefore acquired shares and incurred the reported consideration, but the filing does not state that the shares were cancelled.

The program permits purchases of up to US$1 billion of Nasdaq-listed Class A and Class B common stock. That figure is a ceiling, while the filing separately reports purchases already made; it is not a statement that US$1 billion has been spent.

The same notifications report cumulative purchases before September 17 of 12,067,301 shares for US$314,814,001.70 and 5,621,283 shares for US$166,129,749.31. Goldman Sachs & Co. LLC is identified as the broker, and the filing states that shareholder approval is not required.

The next useful update is another Appendix 3C daily notification, which would show whether additional shares were bought and the resulting cumulative totals under the 2025 Repurchase Program.

Repurchase Program financial
"under News Corporation's stock repurchase program (the "Repurchase Program")"
A repurchase program is when a company buys back its own shares from the open market. This reduces the total number of shares available, which can increase the value of each remaining share and signal confidence in the company's future. For investors, it often suggests that the company believes its stock is undervalued and can be a sign of financial strength.
on-market buy-back financial
"The type of buy-back is Employee share scheme buy-back On-market buy-back"
forward-looking statements regulatory
"Such information contains "forward-looking statements" within the meaning"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
Appendix 3C regulatory
"Appendix 3C Notification of buy-back Information or documents"
Class A common stock financial
"up to an aggregate of US$1 billion of the Company’s Nasdaq-listed Class A common stock"
Class A common stock is a category of a company’s shares that carries a specific set of ownership rights—most commonly defined voting power and claims on dividends—set out in the company’s charter. For investors it matters because the class determines how much influence you have over corporate decisions, the share’s likely dividend and trading behavior, and how it compares in value to other share classes, like choosing a particular seat with different privileges at the company’s decision-making table.
CDIs financial
"No ASX-listed CDIs will be repurchased in these programs."
CDIs (CHESS Depositary Interests) are local certificates that represent ownership of foreign shares so investors can buy, sell and hold those stocks on a domestic exchange without moving the underlying shares across borders. Think of a CDI as a local receipt for a foreign share: it gives most economic rights and easier trading in local currency and settlement systems, which matters to investors for access, liquidity, and the practical handling of dividends and corporate actions.
