Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Newton Golf Company, Inc. (NWTG) received a Nasdaq staff determination that it had not demonstrated compliance with the $2,500,000 minimum stockholders’ equity requirement for continued listing, because it had not completed the remedial actions described in its submitted materials. Unless the company requests an appeal by October 13, 2026, Nasdaq will suspend trading in its common stock at the opening of business on October 15, 2026, and file a Form 25-NSE to remove its securities from listing and registration.

NWTG said it intends to timely request a hearing before a Nasdaq Hearings Panel. A hearing request would stay the suspension and Form 25-NSE filing pending the Panel’s decision. The company said there is no assurance the Panel will grant continued listing or that NWTG will regain compliance.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Stockholders’ Equity Requirement regulatory
"compliance with the Stockholders’ Equity Requirement"
A stockholders’ equity requirement is a minimum amount of net assets — assets minus liabilities — that a company must keep on its balance sheet to meet rules set by regulators, lenders or stock exchanges. Think of it as a required safety buffer or minimum bank balance that shows the company has enough of its own capital to absorb losses; falling below it can limit dividends, trigger covenants or risk sanctions, so investors watch it as a sign of financial health and compliance.
Nasdaq Hearings Panel regulatory
"request a hearing before a Nasdaq Hearings Panel"
A Nasdaq hearings panel is a group of experts that reviews cases when a company's stock listing is at risk of being removed from the exchange. They evaluate whether the company has met certain standards and determine if it can keep trading on Nasdaq. This process matters to investors because it can affect a company's ability to raise money and maintain credibility in the market.
Form 25-NSE regulatory
"a Form 25-NSE will be filed"
Form 25‑NSE is an official filing used to notify the stock exchange that a company’s securities are being removed from trading on that exchange, similar to handing in a key when a shop closes. Investors care because removal ends public trading on that venue, often cutting liquidity and making it harder to buy or sell shares, which can affect a stock’s price and how quickly investors can access cash or exit positions.
Nasdaq Listing Rule 5550(b)(1) regulatory
"minimum of $2,500,000 in stockholders’ equity"

Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

As previously disclosed, on April 6, 2026, Newton Golf Company, Inc. (the “Company”) received a deficiency letter from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it was not in compliance with Nasdaq Listing Rule 5550(b)(1), which requires the Company to maintain a minimum of $2,500,000 in stockholders’ equity for continued listing on The Nasdaq Capital Market (the “Stockholders’ Equity Requirement”). The Company subsequently submitted materials to the Staff on May 21, 2026 and August 20, 2026 describing its plan to regain compliance with the Stockholders’ Equity Requirement (the “Materials”).

On October 6, 2026, the Company received a letter from the Staff (the “Staff Determination”) notifying the Company that, because the Company has not completed the remedial actions described in the Materials, the Staff has determined that the Company has not demonstrated compliance with the Stockholders’ Equity Requirement. As a result, unless the Company requests an appeal of the Staff Determination by October 13, 2026, trading of the Company’s common stock will be suspended at the opening of business on October 15, 2026, and a Form 25-NSE will be filed with the Securities and Exchange Commission, which will remove the Company’s securities from listing and registration on Nasdaq.

The Company intends to timely request a hearing before a Nasdaq Hearings Panel (the “Panel”) to appeal the Staff Determination. A hearing request will stay the suspension of the Company’s common stock and the filing of the Form 25-NSE pending the Panel’s decision. There can be no assurance that the Panel will grant the Company’s request for continued listing or that the Company will be able to regain compliance with the Stockholders’ Equity Requirement or maintain compliance with any other Nasdaq listing requirement.
