Item 7.01 Regulation FD Disclosure.
On March 25, 2026, American
Strategic Investment Co. (the “Company”) issued a press release announcing that it has rescheduled its fourth quarter and
year ended December 31, 2025 earnings release and call. The Company now expects to release its financial results on Tuesday, April 14,
2026. A copy of the Company’s press release is attached hereto as Exhibit 99.1.

FOR FOURTH QUARTER AND FULL YEAR 2025 RESULTS
NEW YORK –March 25, 2026 - American
Strategic Investment Co. (NYSE: NYC) (“ASIC” or the “Company”) announced today it has rescheduled the date of
its previously announced earnings release and call. The Company expects to release its financial results for the fourth quarter and year
ended December 31, 2025, on Tuesday, April 14, 2026.
The change of date for the release of fourth quarter and full year
2025 financial results and the related webcast is intended to allow additional time to complete customary year-end financial reporting
and internal review processes, including finalization of the Company’s Annual Report on Form 10-K. The Company and its recently
appointed independent registered public accounting firm are working diligently to complete the necessary procedures.
