(the “Company”) filed a prospectus supplement relating to its Open Market Sales Agreement (the “Sales Agreement”), dated August 28, 2025, by and between the Company and Jefferies LLC (“Jefferies”). Pursuant to the Sales Agreement, the Company may offer and sell, from time to time, through or to Jefferies, shares of the Company’s Class A common stock, par value $0.0001 per share (the “Class A common stock”), having an aggregate offering price of up to $69,738,969.

A copy of the legal opinion of Latham & Watkins LLP relating to the validity of the issuance and sale of the Class A common stock pursuant to the Sales Agreement is filed as Exhibit 5.1 to this Current Report on Form 8-K and is filed with reference to, and is hereby incorporated by reference into, the registration statement.
